Before you sign
- Title and encumbrances. Obtain certified copies of every title deed from the Land Office and check the owner's name, the land area and the encumbrances registered on the back (mortgages, leases, servitudes). If there is a mortgage, tick the mortgage option so that it is disclosed in the Lessor's warranties, and consider asking the bank for a letter acknowledging the lease.
- Zoning and permits. Check the town-planning zoning of the land, the building permits and the certificate of building use with the local authority, and confirm with the factory authority that the Permitted Use can be licensed at this site. Clause 3.3 lets the Lessee leave if a permit is refused because of the site, but it is far cheaper to check first.
- Authority to sign. A company signs through the director or directors named in its latest company affidavit, with the company seal if required. Anyone else needs a power of attorney. An individual owner who is married and leases marital property for more than 3 years needs the spouse's written consent.
- Foreign-owned companies. A foreign-owned company may lease land in Thailand, but normally may not own it unless it has a specific investment promotion privilege. Keep this in mind when relying on the right of first refusal in Clause 9.
Stamp duty

- An unstamped lease cannot be used as evidence in a Thai civil court until the duty and a surcharge are paid (Revenue Code section 118).
- A power of attorney used to sign for a Party carries stamp duty of 10 baht for a single act or 30 baht for more than one act (Instrument 7).

Permits, building works and the environment
- The Lessee applies for its factory licence or notification, environmental permits and any hazardous substance permits. The Lessor must provide the owner's documents within 7 Business Days (Clause 3.2).
- Under the Building Control Act the building permit for any alteration is applied for by the owner of the building (section 21). The Lessor signs the application as owner, and the Lessee pays for the permit and the works (Clause 7.6). Works done without a required permit can be ordered stopped or demolished, and the owner is exposed to the penalty.
- Record any existing contamination, waste or damage in the Handover Record with photographs. The Lessee is responsible only for contamination caused by its own operations (Clause 7.5).
Handover and handback
- Inspect the site together on the Commencement Date, fill in Schedule 1 and exchange photos and videos within 3 Business Days (Clause 2.3).
- At the end of the lease, the Lessee has the number of days in Clause 12.1 to remove machinery, stock, waste and temporary structures, paying rent for that period. Plan the removal of heavy machinery early.
- The Lessor may claim against the Lessee for damage to the premises within 6 months after they are returned (Civil and Commercial Code section 563).
Disputes
- You chose arbitration. The arbitral institution's fees and the arbitrator's fees are payable in addition to lawyers' fees. An award is enforced in Thailand through the court, and abroad under the New York Convention.
- Disputes go to the Thai courts, which is usually the cheapest route when both Parties have assets in Thailand. A Thai judgment is not automatically enforceable abroad.
- A Thai court works in Thai. English documents relied on in court need a certified Thai translation.

ผู้ใดจะก่อสร้าง ดัดแปลง หรือเคลื่อนย้ายอาคารต้องได้รับใบอนุญาต จากเจ้าพนักงานท้องถิ่น หรือแจ้งต่อเจ้าพนักงานท้องถิ่น และดำเนินการตามมาตรา 39 ทวิ มาตรา 21 ทวิ การก่อสร้าง ดัดแปลง หรือเคลื่อนย้ายอาคารชนิดหรือประเภทที่ กฎกระทรวงกำหนดให้มีการตรวจสอบงานออกแบบ และคำนวณส่วนต่าง ๆ ของโครงสร้างอาคาร ผู้ขอรับใบอนุญาต หรือผู้แจ้งตามมาตรา 39 ทวิ ต้องจัดให้มีการตรวจสอบงานออกแบบ และคำนวณ ดังกล่าวตามหลักเกณฑ์ วิธีการ และเงื่อนไขที่กำหนดในกฎกระทรวง มาตรา 22 ผู้ใดจะรื้อถอนอาคารดังต่อไปนี้ ต้องได้รับใบอนุญาตจากเจ้าพนักงาน ท้องถิ่น หรือแจ้งต่อเจ้าพนักงานท้องถิ่นและดำเนินการตามมาตรา 39 ทวิ (1) อาคารที่มีส่วนสูงเกินสิบห้าเมตรซึ่งอยู่ห่างจากอาคารอื่นหรือที่สาธารณะน้อย กว่าความสูงของอาคาร

ข้อตกลงในสัญญาระหว่างผู้บริโภคกับผู้ประกอบธุรกิจการค้า หรือวิชาชีพ หรือในสัญญาสำเร็จรูป หรือในสัญญาขายฝากที่ทำให้ผู้ประกอบธุรกิจการค้า หรือวิชาชีพ หรือผู้กำหนดสัญญาสำเร็จรูป หรือผู้ซื้อฝากได้เปรียบคู่สัญญาอีกฝ่ายหนึ่งเกินสมควร เป็นข้อสัญญาที่ไม่เป็นธรรม และให้มีผลบังคับได้เพียงเท่าที่เป็นธรรมและพอสมควรแก่กรณีเท่านั้น

ประมวลรัษฎากร มาตรา 81
ให้ยกเว้นภาษีมูลค่าเพิ่มสำหรับการประกอบกิจการประเภทต่าง ๆ ดังต่อไปนี้ (1) การขายสินค้าที่มิใช่การส่งออก หรือการให้บริการดังต่อไปนี้ (ก) การขายพืชผลทางการเกษตร ไม่ว่าจะเป็นลำต้น กิ่ง ใบ เปลือก หน่อ รากเหง้า ดอก หัว ฝัก เมล็ด หรือส่วนอื่น ๆ ของพืช และวัตถุพลอยได้จากพืช ทั้งนี้ ที่อยู่ในสภาพสดหรือรักษาสภาพไว้เพื่อมิให้เสียเป็นการชั่วคราวในระหว่างขนส่งด้วยการแช่เย็น แช่เย็นจนแข็ง หรือด้วยการจัดทำหรือปรุงแต่งโดยวิธีการอื่น หรือรักษาสภาพไว้เพื่อมิให้เสียเพื่อการขายปลีกหรือขายส่งด้วยวิธีการแช่เย็น แช่เย็นจนแข็ง ทำให้แห้ง บด ทำให้เป็นชิ้น หรือด้วยวิธีอื่น ข้าวสารหรือผลิตภัณฑ์ที่ได้จากการสีข้าว แต่ไม่รวมถึงไม้ซุง ฟืน หรือผลิตภัณฑ์ที่ได้จากการเลื่อยไม้ หรือผลิตภัณฑ์อาหารที่บรรจุกระป๋อง ภาชนะ หรือหีบห่อที่ทำเป็นอุตสาหกรรมตามลักษณะและเงื่อนไขที่อธิบดีกำหนด (ข) การขายสัตว์ไม่ว่าจะมีชีวิตหรือไม่มีชีวิต และในกรณีสัตว์ไม่มีชีวิตไม่ว่าจะเป็นเนื้อ ส่วนต่าง ๆ ของสัตว์ ไข่ น้ำนม และวัตถุพลอยได้จากสัตว์ ทั้งนี้ ที่อยู่ในสภาพสดหรือรักษาสภาพไว้เพื่อมิให้เสียเป็นการชั่วคราวในระหว่างขนส่งด้วยการแช่เย็น แช่เย็นจนแข็ง หรือด้วยการจัดทำหรือปรุงแต่งโดยวิธีการอื่น หรือรักษาสภาพไว้เพื่อมิให้เสียเพื่อการขายปลีกหรือขายส่งด้วยวิธีการแช่เย็น แช่เย็นจนแข็ง ทำให้แห้ง บด ทำให้เป็นชิ้น หรือด้วยวิธีอื่น แต่ไม่รวมถึงผลิตภัณฑ์อาหารที่บรรจุกระป๋อง ภาชนะ หรือหีบห่อที่ทำเป็นอุตสาหกรรมตามลักษณะและเงื่อนไขที่อธิบดีกำหนด (ค) การขายปุ๋ย (ง) การขายปลาป่น อาหารสัตว์ (จ) การขายยาหรือเคมีภัณฑ์ที่ใช้สำหรับพืชหรือสัตว์เพื่อบำรุงรักษาป้องกันทำลายหรือกำจัดศัตรูหรือโรคของพืชและสัตว์ (ฉ) การขายหนังสือพิมพ์ นิตยสาร หรือตำราเรียน (ช) การให้บริการการศึกษาของสถานศึกษาของทางราชการ สถานศึกษาตามกฎหมายว่าด้วยสถาบันอุดมศึกษาเอกชน หรือโรงเรียนเอกชนตามกฎหมายว่าด้วยโรงเรียนเอกชน (ซ) การให้บริการที่เป็นงานทางศิลปะและวัฒนธรรมในสาขา และลักษณะการประกอบกิจการที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี (ฌ) การให้บริการการประกอบโรคศิลปะ การสอบบัญชี การว่าความ หรือการประกอบวิชาชีพอิสระอื่นตามที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี ทั้งนี้ เฉพาะวิชาชีพอิสระที่มีกฎหมายควบคุมการประกอบวิชาชีพอิสระนั้น (ญ) การให้บริการรักษาพยาบาลของสถานพยาบาลตามกฎหมายว่าด้วยสถานพยาบาล (ฎ) การให้บริการวิจัย หรือการให้บริการทางวิชาการ ทั้งนี้ ในสาขาและลักษณะการประกอบกิจการที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี (ฏ) การให้บริการห้องสมุด พิพิธภัณฑ์ สวนสัตว์ (ฐ) การให้บริการตามสัญญาจ้างแรงงาน (ฑ) การให้บริการจัดแข่งขันกีฬาสมัครเล่น (ฒ) การให้บริการของนักแสดงสาธารณะ ทั้งนี้ เฉพาะบริการในสาขาและลักษณะการประกอบกิจการตามที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี (ณ) การให้บริการขนส่งในราชอาณาจักร (ด) การให้บริการขนส่งระหว่างประเทศซึ่งมิใช่เป็นการขนส่งโดยอากาศยานหรือเรือเดินทะเล (ต) การให้บริการเช่าอสังหาริมทรัพย์ (ถ) การให้บริการของราชการส่วนท้องถิ่น ทั้งนี้ ไม่รวมถึงบริการที่เป็นการพาณิชย์ของราชการส่วนท้องถิ่น หรือเป็นการหารายได้หรือผลประโยชน์ไม่ว่าจะเป็นกิจการสาธารณูปโภคหรือไม่ก็ตาม (ท) การขายสินค้าหรือการให้บริการของกระทรวง ทบวง กรม ซึ่งส่งรายรับทั้งสิ้นให้แก่รัฐโดยไม่หักรายจ่าย (ธ) การขายสินค้าหรือการให้บริการเพื่อประโยชน์แก่การศาสนาหรือการสาธารณกุศลภายในประเทศซึ่งไม่นำผลกำไรไปจ่ายในทางอื่น (น) การขายสินค้าหรือการให้บริการตามที่กำหนดโดยพระราชกฤษฎีกา (2) การนำเข้าสินค้าดังต่อไปนี้ (ก) สินค้าตาม (1) (ก) ถึง (ฉ) (ข)2 สินค้าจากต่างประเทศที่นำเข้าไปในเขตปลอดอากร ทั้งนี้ เฉพาะสินค้าที่ได้รับยกเว้นอากรขาเข้าตามกฎหมายว่าด้วยการนั้น (ค) สินค้าที่จำแนกประเภทไว้ในภาคว่าด้วยของที่ได้รับยกเว้นอากรตามกฎหมายว่าด้วยพิกัดอัตราศุลกากร (ง) สินค้าซึ่งนำเข้าและอยู่ในอารักขาของศุลกากร แล้วได้ส่งกลับออกไปต่างประเทศ โดยได้คืนอากรขาเข้าตามกฎหมายว่าด้วยศุลกากร (3) การส่งออกซึ่งสินค้าหรือบริการของผู้ประกอบการจดทะเบียนซึ่งต้องเสียภาษีมูลค่าเพิ่มตามมาตรา 82/16 การยกเว้นภาษีมูลค่าเพิ่มสำหรับการประกอบกิจการตามมาตรานี้ อธิบดีจะเสนอให้คณะกรรมการวินิจฉัยภาษีอากรพิจารณากำหนดลักษณะของกิจการและเงื่อนไขในการประกอบกิจการที่ได้รับการยกเว้นตามมาตรานี้ก็ได้ และเมื่อคณะกรรมการวินิจฉัยภาษีอากรได้วินิจฉัยแล้วให้ประกาศคำวินิจฉัยของคณะกรรมการดังกล่าวในราชกิจจานุเบกษา และหากกิจการนั้นมิได้เป็นไปตามลักษณะและเงื่อนไขที่กำหนด กิจการนั้นจะไม่ได้รับยกเว้นภาษีมูลค่าเพิ่มตามมาตรานี้

ตราสารใดไม่ปิดแสตมป์บริบูรณ์ จะใช้ต้นฉบับ คู่ฉบับ คู่ฉีก หรือสำเนาตราสารนั้นเป็นพยานหลักฐานในคดีแพ่งไม่ได้ จนกว่าจะได้เสียอากรโดยปิดแสตมป์ครบจำนวนตามอัตราในบัญชีท้ายหมวดนี้ และขีดฆ่าแล้ว แต่ทั้งนี้ ไม่เป็นการเสื่อมสิทธิที่จะเรียกเงินเพิ่มอากรตามมาตรา 113 และมาตรา 114

พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 24
ห้ามมิให้ผู้ควบคุมข้อมูลส่วนบุคคลทำการเก็บรวบรวมข้อมูลส่วนบุคคล โดยไม่ได้รับความยินยอมจากเจ้าของข้อมูลส่วนบุคคล เว้นแต่ (1) เพื่อให้บรรลุวัตถุประสงค์ที่เกี่ยวกับการจัดทำเอกสารประวัติศาสตร์หรือจดหมายเหตุ เพื่อประโยชน์สาธารณะ หรือที่เกี่ยวกับการศึกษาวิจัยหรือสถิติซึ่งได้จัดให้มีมาตรการปกป้องที่เหมาะสม เพื่อคุ้มครองสิทธิและเสรีภาพของเจ้าของข้อมูลส่วนบุคคล ทั้งนี้ ตามที่คณะกรรมการประกาศกำหนด (2) เพื่อป้องกันหรือระงับอันตรายต่อชีวิต ร่างกาย หรือสุขภาพของบุคคล (3) เป็นการจำเป็นเพื่อการปฏิบัติตามสัญญาซึ่งเจ้าของข้อมูลส่วนบุคคลเป็นคู่สัญญาหรือ เพื่อใช้ในการดำเนินการตามคำขอของเจ้าของข้อมูลส่วนบุคคลก่อนเข้าทำสัญญานั้น (4) เป็นการจำเป็นเพื่อการปฏิบัติหน้าที่ในการดำเนินภารกิจเพื่อประโยชน์สาธารณะของผู้ควบคุม ข้อมูลส่วนบุคคล หรือปฏิบัติหน้าที่ในการใช้อำนาจรัฐที่ได้มอบให้แก่ผู้ควบคุมข้อมูลส่วนบุคคล (5) เป็นการจำเป็นเพื่อประโยชน์โดยชอบด้วยกฎหมายของผู้ควบคุมข้อมูลส่วนบุคคล หรือของบุคคลหรือนิติบุคคลอื่นที่ไม่ใช่ผู้ควบคุมข้อมูลส่วนบุคคล เว้นแต่ประโยชน์ดังกล่าวมีความสำคัญ น้อยกว่าสิทธิขั้นพื้นฐานในข้อมูลส่วนบุคคลของเจ้าของข้อมูลส่วนบุคคล (6) เป็นการปฏิบัติตามกฎหมายของผู้ควบคุมข้อมูลส่วนบุคคล
