Before anyone pays or moves in

  • Get the Head Lessor's written consent first. Without it, the Head Lessor may terminate the Head Lease, and the Subtenant loses the premises together with the Sublessor (Civil and Commercial Code section 544). This Agreement does not take effect until the consent is delivered (Clause 2.2); do not hand over keys or pay more than the Deposit before then.Make sure the Head Lessor signs the consent at the end of this Agreement, through a person authorised to sign for it.Keep the Head Lessor's consent letter with this Agreement and check that it names the Subtenant and the Sublet Premises.
  • The Subtenant should read the Head Lease itself, not a summary. The sublease cannot last longer than the Head Lease, and the Subtenant must follow the Head Lease rules on use and alterations (Clauses 3.1 and 4.2).
  • Check that the Head Lease is still valid: its end date, whether it is registered, and whether the Sublessor is behind with the rent. Clause 4.4(d) lets the Subtenant ask for proof of payment at any time.

The Subtenant's direct liability to the Head Lessor

  • Under Thai law a lawful subtenant is directly liable to the head lessor, and rent paid to the sublessor in advance is not a defence against the head lessor (section 545). This is why Clause 4.3 prohibits paying more than one month's Rent in advance.
  • If the Head Lessor chases the Sublessor for unpaid rent, the Subtenant may pay the Head Lessor directly and deduct the payment from the next Rent (Clause 4.5). Keep the Head Lessor's receipt and send a copy to the Sublessor.

During and at the end of the sublease

  • Forward any letter from the Head Lessor to the other Party at once. Clause 4.4(c) gives the Sublessor 3 Business Days.
  • If the Rent is late, the Sublessor must first give a written demand allowing at least 15 days before terminating (Clause 12.1(a)). The Sublessor must not lock the Subtenant out or cut the utilities (Clause 12.3).
  • When the sublease ends, the Subtenant must remove alterations that the Head Lease requires to be removed (Clause 13.1). The Sublessor returns the Deposit within … days with a written statement of any deduction (Clause 7.3).

Signing and evidence

  • Keep the signed Agreement, the copy of the Head Lease, the consent, the condition record with photographs, receipts and withholding tax certificates.
  • A Thai court works in Thai. A Party that relies on this Agreement in court must file a certified Thai translation.
