Who is responsible to whom
- The Agency sells to its clients in its own name and is fully responsible to them (Clause 2.2). The Provider has no contract with any End Client. If the Agency promises an End Client faster delivery or wider liability than this Agreement gives, the Agency carries that risk alone (Clause 2.3).
- Pass every End Client requirement — security rules, brand rules, industry rules — to the Provider in writing with the Order (Clause 5.1). The Provider is bound only by the requirements it accepted.
- The Agency pays the Provider whether or not the End Client pays the Agency (Clause 8.4). Price your resale terms with that in mind.
White label without false statements
- Deliverables come without the Provider's name, credits or file metadata (Clause 4.1), and the Provider speaks to End Clients only when the Agency asks, under the Agency's name (Clause 4.2).
- White-labelling is lawful, but misleading an End Client about a material fact can create liability for misrepresentation and, in consumer-facing work, breach consumer protection rules. Clause 4.3 therefore never requires anyone to lie. If an End Client's contract prohibits subcontracting or requires disclosure of subcontractors or AI use, the Agency must obtain the End Client's consent first (Clause 5.3).
Protecting the client relationship
- The Provider may not work directly for the Agency's End Clients for … months after the Agreement ends (Clause 11), and the Agency may not poach the Provider's staff. The restriction covers only End Clients served in the previous 12 months and leaves the Provider free to serve other agencies.
- Thai courts enforce restrictions of this kind only to the extent they are fair (Unfair Contract Terms Act section 5). A period of 6 to 12 months limited to known End Clients is far easier to defend than a general non-compete.
Stamp duty
- This Agreement is a hire of work (Instrument 4 of the Stamp Duty Schedule), and the Provider pays duty of 1 THB for every 1,000 THB or part of 1,000 THB of the fees (Clause 9.3). On the Contract Value you entered, the duty on the original is the amount the system calculates from the figures entered, and each counterpart carries the amount the system calculates from the figures entered.Because the Fees are in …, convert the Contract Value to Thai Baht at the exchange rate on the date of signing and calculate the duty on the Baht amount. Tax for a Thai Provider serving a foreign Agency
- The Fees are taxable income of the Provider in Thailand. The Agency's country may require withholding, often reduced by a double tax treaty; ask for the certificate (Clause 9.2) — you ticked gross-up, so the Agency bears that tax on top of the Fees.
- A VAT-registered Provider whose services are performed in Thailand and used by an Agency abroad may be able to apply VAT at 0% if the Revenue Department's conditions and documents are met. Confirm with an accountant before issuing the first tax invoice.
- If the Agency is in Thailand, a Thai company normally withholds 3% from service fees.
Personnel and work permits
- The Provider directs its own staff (Clause 7.1). If the Agency manages the Provider's people directly as if they were its own employees in its core business, Thai labour law may treat the Agency as their employer (Labour Protection Act section 11/1).
- Provider staff who are foreigners working in Thailand need work permits arranged by the Provider.
Personal data of End Clients
- The End Client is the data controller, the Agency its processor, and the Provider a sub-processor (Clause 13.2). Under the Personal Data Protection Act a processor may use another processor only as the controller allows (section 40), so the Agency must obtain the End Client's authorisation.
- The Provider reports breaches to the Agency within 24 hours, so that the End Client can notify the regulator within 72 hours where required (section 37).
- If the End Client or its customers are in the European Union or another country with its own data protection law, that law may also apply; the Agency should flow down the End Client's data terms with the Order.
Intellectual property and AI
- The Agency owns each paid Deliverable and can pass it to the End Client (Clause 10.1). A transfer of copyright must be in writing and signed by both Parties, so both must sign this Agreement.
- Check that stock images, fonts and plug-ins are licensed for the End Client's use, not only the Provider's (Clause 10.3).
- AI Tools may be used only as Clause 14 allows. Some End Clients prohibit AI-generated work or require disclosure; include that rule in the Order.
Signing and evidence
- Each Party signs through its authorised signatory. Clause 20.7 allows electronic signatures and signed PDF copies.
- Keep every Order, acceptance, delivery record, invoice and payment slip. Orders by reference number keep End Client names out of the Provider's invoices.
- A Thai court works in Thai, so a Party relying on this Agreement in court must file a certified Thai translation. Against an Agency abroad with no assets in Thailand, monthly invoicing and the right to stop accepting Orders (Clause 8.5) usually protect the Provider better than a lawsuit.

ในกรณีที่ผู้ประกอบกิจการมอบหมายให้บุคคลหนึ่งบุคคลใดเป็นผู้จัดหาคนมาทำงานอันมิใช่การประกอบธุรกิจจัดหางาน โดยการทำงานนั้นเป็นส่วนหนึ่งส่วนใดในกระบวนการผลิตหรือธุรกิจในความรับผิดชอบของผู้ประกอบกิจการ และโดยบุคคลนั้นจะเป็นผู้ควบคุมดูแลการทำงานหรือรับผิดชอบในการจ่ายค่าจ้างให้แก่คนที่มาทำงานนั้นหรือไม่ก็ตาม ให้ถือว่าผู้ประกอบกิจการเป็นนายจ้างของคนที่มาทำงานดังกล่าว

พ.ร.บ.ลิขสิทธิ์ พ.ศ. 2537 มาตรา 17
ลิขสิทธิ์นั้นย่อมโอนให้แก่กันได้ เจ้าของลิขสิทธิ์อาจโอนลิขสิทธิ์ของตนทั้งหมดหรือแต่บางส่วนให้แก่บุคคลอื่นได้ และจะโอน ให้โดยมีกำหนดเวลาหรือตลอดอายุแห่งการคุ้มครองลิขสิทธิ์ก็ได้ การโอนลิขสิทธิ์ตามวรรคสองซึ่งมิใช่ทางมรดกต้องทำเป็นหนังสือลงลายมือชื่อผู้โอน และผู้รับโอน ถ้าไม่ได้กำหนดระยะเวลาไว้ในสัญญาโอน ให้ถือว่าเป็นการโอนมีกำหนดระยะเวลาสิบปี

พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 37
ผู้ควบคุมข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ และต้องทบทวน มาตรการดังกล่าวเมื่อมีความจำเป็นหรือเมื่อเทคโนโลยีเปลี่ยนแปลงไปเพื่อให้มีประสิทธิภาพในการรักษา ความมั่นคงปลอดภัยที่เหมาะสม ทั้งนี้ ให้เป็นไปตามมาตรฐานขั้นต่ำที่คณะกรรมการประกาศกำหนด (2) ในกรณีที่ต้องให้ข้อมูลส่วนบุคคลแก่บุคคลหรือนิติบุคคลอื่นที่ไม่ใช่ผู้ควบคุมข้อมูลส่วนบุคคล ต้องดำเนินการเพื่อป้องกันมิให้ผู้นั้นใช้หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ (3) จัดให้มีระบบการตรวจสอบเพื่อดำเนินการลบหรือทำลายข้อมูลส่วนบุคคลเมื่อพ้นกำหนด ระยะเวลาการเก็บรักษา หรือที่ไม่เกี่ยวข้องหรือเกินความจำเป็นตามวัตถุประสงค์ในการเก็บรวบรวม ข้อมูลส่วนบุคคลนั้น หรือตามที่เจ้าของข้อมูลส่วนบุคคลร้องขอ หรือที่เจ้าของข้อมูลส่วนบุคคล ได้ถอนความยินยอม เว้นแต่เก็บรักษาไว้เพื่อวัตถุประสงค์ในการใช้เสรีภาพในการแสดงความคิดเห็น การเก็บรักษาไว้เพื่อวัตถุประสงค์ตามมาตรา 24 (1) หรือ (4) หรือมาตรา 26 (5) (ก) หรือ (ข) การใช้เพื่อการก่อตั้งสิทธิเรียกร้องตามกฎหมาย การปฏิบัติตามหรือการใช้สิทธิเรียกร้องตามกฎหมาย หรือการยกขึ้นต่อสู้สิทธิเรียกร้องตามกฎหมาย หรือเพื่อการปฏิบัติตามกฎหมาย ทั้งนี้ ให้นำความใน

พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 40
ผู้ประมวลผลข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) ดำเนินการเกี่ยวกับการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามคำสั่งที่ได้รับ จากผู้ควบคุมข้อมูลส่วนบุคคลเท่านั้น เว้นแต่คำสั่งนั้นขัดต่อกฎหมายหรือบทบัญญัติในการคุ้มครอง ข้อมูลส่วนบุคคลตามพระราชบัญญัตินี้ (2) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ รวมทั้ง แจ้งให้ผู้ควบคุมข้อมูลส่วนบุคคลทราบถึงเหตุการละเมิดข้อมูลส่วนบุคคลที่เกิดขึ้น (3) จัดทำและเก็บรักษาบันทึกรายการของกิจกรรมการประมวลผลข้อมูลส่วนบุคคลไว้ ตามหลักเกณฑ์และวิธีการที่คณะกรรมการประกาศกำหนด ผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งไม่ปฏิบัติตาม (1) สำหรับการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลใด ให้ถือว่าผู้ประมวลผลข้อมูลส่วนบุคคลเป็นผู้ควบคุมข้อมูลส่วนบุคคลสำหรับ การเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลนั้น การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลตามที่ได้รับมอบหมายจากผู้ควบคุม ข้อมูลส่วนบุคคลตามวรรคหนึ่ง ผู้ควบคุมข้อมูลส่วนบุคคลต้องจัดให้มีข้อตกลงระหว่างกัน เพื่อควบคุม การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลให้เป็นไปตามพระราชบัญญัตินี้ ความใน (3) อาจยกเว้นมิให้นำมาใช้บังคับกับผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งเป็นกิจการ ขนาดเล็กตามหลักเกณฑ์ที่คณะกรรมการประกาศกำหนด เว้นแต่มีการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลที่มีความเสี่ยงที่จะมีผลกระทบต่อสิทธิและเสรีภาพของเจ้าของข้อมูลส่วนบุคคล หรือ มิใช่กิจการที่เก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลเป็นครั้งคราว หรือมีการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามมาตรา 26

ประมวลรัษฎากร มาตรา 118
ตราสารใดไม่ปิดแสตมป์บริบูรณ์ จะใช้ต้นฉบับ คู่ฉบับ คู่ฉีก หรือสำเนาตราสารนั้นเป็นพยานหลักฐานในคดีแพ่งไม่ได้ จนกว่าจะได้เสียอากรโดยปิดแสตมป์ครบจำนวนตามอัตราในบัญชีท้ายหมวดนี้ และขีดฆ่าแล้ว แต่ทั้งนี้ ไม่เป็นการเสื่อมสิทธิที่จะเรียกเงินเพิ่มอากรตามมาตรา 113 และมาตรา 114
