Before taking the money

  • Set a Latest Delivery Date that you can really meet. After that date the Buyer may cancel and must be repaid with interest at 5% per year from the date you received each payment (Clause 5.4). A force majeure event does not move that date (Clause 12.2).
  • The Advance Payment of … is part of the Price, not a deposit that can be forfeited (Clause 4.3). Under Thai law a deposit is a separate thing, and a court can reduce a forfeiture that is excessive. If the Buyer fails to pay the balance, you may keep only your actual loss shown with documents (Clause 4.6).
  • You promised to keep pre-order payments in a separate bank account until delivery (Clause 4.4). Open the account before the first payment and use it only for making the Products and for refunds.
  • The pre-order goes ahead only if at least … units are pre-ordered by … (Clause 2.3). Tell every buyer the result within 3 Business Days after that date, and refund in full within … days if the minimum is not reached.
  • A sale of goods with a price of 20,000 THB or more can be enforced in court only if there is written evidence signed by the party liable, a deposit, or part performance (Civil and Commercial Code section 456). Have both Parties sign this Agreement.

Keeping the Buyer informed

  • Send a progress update at least every 30 days and tell the Buyer of any likely delay within 5 Business Days, with the reason and a new estimated date (Clause 5.2). Silence is the main reason pre-order buyers ask their banks for chargebacks.
  • A significant change to the Products needs the Buyer's written acceptance; if the Buyer does not reply within 7 days, the change is not accepted (Clause 3.3).
  • You agreed a price reduction of …% per full week of delay after the Estimated Delivery Date, up to …% (Clause 5.3). Under Thai law this works like a penalty, which a court may reduce if excessive, and a creditor who accepts late performance should reserve the right to it (Civil and Commercial Code sections 381 and 383). Clause 5.3 treats the reservation as made, but a Buyer who wants to be safe should also mention it in writing when accepting delivery.

Consumer buyers

  • The Buyer is a consumer. A consumer may cancel at any time before dispatch and, for a distance purchase, within … days after receiving the Products (Clause 6). Thai direct marketing rules give at least 7 days after receipt and require the refund within 15 days after the business receives the cancellation notice, which is why refunds under this Agreement are due within … days after the notice.
  • A business that sells online to consumers in Thailand generally needs a commercial registration and a direct marketing registration with the Office of the Consumer Protection Board.
  • A consumer living abroad may also be protected by the consumer law of his or her own country (Clause 14.1), which this Agreement does not remove.
  • You stated that the Products are made to the Buyer's individual specifications. If the Buyer cancels after you have told the Buyer in writing that production has started, you may keep only your actual costs up to …% of the Price (Clause 6.1). Keep production records and receipts.
  • The Buyer is buying for its business, so the consumer cancellation rules do not apply. The Buyer may still cancel before the Ready Notice, and you may keep only your actual costs up to …% of the Price (Clause 6.2).

Stamp duty

  • No stamp duty is payable. A sale of goods is not an instrument listed in the Stamp Duty Schedule of the Thai Revenue Code.

VAT and income tax

Product rules

  • Food, supplements, cosmetics, electrical appliances and toys often need Thai approvals, Thai-language labels or mandatory standard marks, and the destination country may have its own rules. Check before you take pre-orders, because a product that cannot be lawfully delivered must be refunded (Clause 7).

Personal data

  • You are the data controller of the Buyer's personal data (Clause 11). Share it only with carriers, customs brokers and payment providers, tell the Buyer in your privacy notice if some of them are abroad (Personal Data Protection Act sections 28 and 29), and send marketing only with the Buyer's consent (section 19).

Evidence to keep

  • The signed Agreement with Schedule 1 and any binding sample or photograph, every payment receipt, the Ready Notice, progress updates, delay notices and the Buyer's replies.
  • Tracking records, proof of delivery, inspection reports and photographs of any damage.

Signing

  • Clause 15.6 allows electronic signatures and signed PDF copies. A company should sign through its authorised director or directors.

ในกรณีที่ผู้ควบคุมข้อมูลส่วนบุคคลส่งหรือโอนข้อมูลส่วนบุคคลไปยังต่างประเทศ ประเทศปลายทางหรือองค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคลต้องมีมาตรฐานการคุ้มครองข้อมูล ส่วนบุคคลที่เพียงพอ ทั้งนี้ ต้องเป็นไปตามหลักเกณฑ์การให้ความคุ้มครองข้อมูลส่วนบุคคลตามที่ คณะกรรมการประกาศกำหนดตามมาตรา 16 (5) เว้นแต่ (1) เป็นการปฏิบัติตามกฎหมาย (2) ได้รับความยินยอมจากเจ้าของข้อมูลส่วนบุคคลโดยได้แจ้งให้เจ้าของข้อมูลส่วนบุคคลทราบถึง มาตรฐานการคุ้มครองข้อมูลส่วนบุคคลที่ไม่เพียงพอของประเทศปลายทางหรือองค์การระหว่างประเทศ ที่รับข้อมูลส่วนบุคคลแล้ว (3) เป็นการจำเป็นเพื่อการปฏิบัติตามสัญญาซึ่งเจ้าของข้อมูลส่วนบุคคลเป็นคู่สัญญาหรือ เพื่อใช้ในการดำเนินการตามคำขอของเจ้าของข้อมูลส่วนบุคคลก่อนเข้าทำสัญญานั้น (4) เป็นการกระทำตามสัญญาระหว่างผู้ควบคุมข้อมูลส่วนบุคคลกับบุคคลหรือนิติบุคคลอื่น เพื่อประโยชน์ของเจ้าของข้อมูลส่วนบุคคล (5) เพื่อป้องกันหรือระงับอันตรายต่อชีวิต ร่างกาย หรือสุขภาพของเจ้าของข้อมูลส่วนบุคคล หรือบุคคลอื่น เมื่อเจ้าของข้อมูลส่วนบุคคลไม่สามารถให้ความยินยอมในขณะนั้นได้ (6) เป็นการจำเป็นเพื่อการดำเนินภารกิจเพื่อประโยชน์สาธารณะที่สำคัญ ในกรณีที่มีปัญหาเกี่ยวกับมาตรฐานการคุ้มครองข้อมูลส่วนบุคคลที่เพียงพอของประเทศปลายทาง หรือองค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคล ให้เสนอต่อคณะกรรมการเป็นผู้วินิจฉัย ทั้งนี้ คำวินิจฉัยของคณะกรรมการอาจขอให้ทบทวนได้เมื่อมีหลักฐานใหม่ทำให้เชื่อได้ว่าประเทศปลายทางหรือ องค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคลมีการพัฒนาจนมีมาตรฐานการคุ้มครองข้อมูลส่วนบุคคล ที่เพียงพอ

ภายใต้บังคับมาตรา 78/3 ความรับผิดในการเสียภาษีมูลค่าเพิ่มที่เกิดจากการขายสินค้า ให้เป็นไปตามหลักเกณฑ์ดังต่อไปนี้ (1) การขายสินค้านอกจากที่อยู่ในบังคับตาม (2) (3) (4) หรือ (5) ให้ความรับผิดทั้งหมดเกิดขึ้นเมื่อส่งมอบสินค้า เว้นแต่กรณีที่ได้มีการกระทำดังต่อไปนี้เกิดขึ้นก่อนส่งมอบสินค้า ก็ให้ถือว่าความรับผิดเกิดขึ้นเมื่อได้มีการกระทำนั้น ๆ ด้วย (ก) โอนกรรมสิทธิ์สินค้า (ข) ได้รับชำระราคาสินค้า หรือ (ค) ได้ออกใบกำกับภาษี ทั้งนี้ โดยให้ความรับผิดเกิดขึ้นตามส่วนของการกระทำนั้น ๆ แล้วแต่กรณี (2) การขายสินค้าตามสัญญาให้เช่าซื้อหรือสัญญาซื้อขายผ่อนชำระที่กรรมสิทธิ์ในสินค้ายังไม่โอนไปยังผู้ซื้อเมื่อได้ส่งมอบ ให้ความรับผิดเกิดขึ้นเมื่อถึงกำหนดชำระราคาตามงวดที่ถึงกำหนดชำระราคาแต่ละงวด เว้นแต่กรณีที่ได้มีการกระทำดังต่อไปนี้เกิดขึ้นก่อนถึงกำหนดชำระราคาแต่ละงวด ก็ให้ถือว่าความรับผิดเกิดขึ้นเมื่อได้มีการกระทำนั้น ๆ ด้วย (ก) ได้รับชำระราคาสินค้า หรือ (ข) ได้ออกใบกำกับภาษี ทั้งนี้ โดยให้ความรับผิดเกิดขึ้นตามส่วนของการกระทำนั้น ๆ แล้วแต่กรณี (3) การขายสินค้าโดยมีการตั้งตัวแทนเพื่อขายและได้ส่งมอบสินค้าให้ตัวแทนแล้ว ทั้งนี้ เฉพาะสัญญาการตั้งตัวแทนเพื่อขายตามประเภทของสินค้าและเป็นไปตามหลักเกณฑ์ วิธีการ และเงื่อนไขที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี ให้ความรับผิดทั้งหมดเกิดขึ้นเมื่อตัวแทนได้ส่งมอบสินค้าให้ผู้ซื้อ เว้นแต่กรณีที่ได้มีการกระทำดังต่อไปนี้เกิดขึ้นก่อนการส่งมอบสินค้าให้ผู้ซื้อ ก็ให้ถือว่าความรับผิดเกิดขึ้นเมื่อได้มีการระทำนั้น ๆ ด้วย (ก) ตัวแทนได้โอนกรรมสิทธิ์สินค้าให้ผู้ซื้อ (ข) ตัวแทนได้รับชำระราคาสินค้า (ค) ตัวแทนได้ออกใบกำกับภาษี หรือ (ง) ได้มีการนำสินค้าไปใช้ไม่ว่าโดยตัวแทนหรือบุคคลอื่น ทั้งนี้ โดยให้ความรับผิดเกิดขึ้นตามส่วนของการกระทำนั้น ๆ แล้วแต่กรณี (4) การขายสินค้าโดยส่งออกให้ความรับผิดเกิดขึ้นดังต่อไปนี้ (ก) การส่งออกนอกจากที่ระบุใน (ข) หรือ (ค) ให้ความรับผิดเกิดขึ้นเมื่อชำระอากรขาออก วางหลักประกันอากรขาออก หรือจัดให้มีผู้ค้ำประกันอากรขาออก เว้นแต่ในกรณีที่ไม่ต้องเสียอากรขาออกหรือได้รับยกเว้นอากรขาออก แล้วแต่กรณี ก็ให้ถือว่าความรับผิดเกิดขึ้นในวันที่มีการออกใบขนสินค้าขาออกตามกฎหมายว่าด้วยศุลกากร (ข)2 การส่งออกในกรณีที่นำสินค้าเข้าไปในเขตปลอดอากรตามมาตรา 77/1 (14) (ก) ให้ความรับผิดเกิดขึ้นในวันที่นำสินค้าในราชอาณาจักรเข้าไปในเขตดังกล่าว (ค) การส่งออกซึ่งสินค้าที่อยู่ในคลังสินค้าทัณฑ์บนตามกฎหมายว่าด้วยศุลกากร ให้ความรับผิดเกิดขึ้นพร้อมกับความรับผิดตามกฎหมายว่าด้วยศุลกากร (5) การขายสินค้าที่ได้เสียภาษีมูลค่าเพิ่มในอัตราร้อยละ 0 ตามมาตรา 80/1 (5) และภายหลังได้มีการโอนกรรมสิทธิ์ในสินค้าอันทำให้ผู้รับโอนสินค้ามีหน้าที่ต้องเสียภาษีมูลค่าเพิ่มตามมาตรา 82/1 (2) ให้ความรับผิดทั้งหมดเกิดขึ้นเมื่อโอนกรรมสิทธิ์สินค้า เพื่อเป็นการบรรเทาภาระในการยื่นแบบแสดงรายการภาษีและการชำระภาษีของผู้ประกอบการจดทะเบียนสำหรับการขายสินค้าแก่กระทรวง ทบวง กรม หรือราชการส่วนท้องถิ่น ทั้งนี้ เฉพาะการขายสินค้าตามสัญญาและมีการชำระราคาที่เป็นไปตามหลักเกณฑ์ วิธีการ และเงื่อนไขที่กำหนดโดยกฎกระทรวง ให้อธิบดีโดยอนุมัติรัฐมนตรีมีอำนาจกำหนดความรับผิดตาม (1) (2) และ (3) เกิดขึ้นเป็นอย่างอื่นได้
