Stamp duty

  • If someone signs for a Party under a power of attorney made in Thailand, the power of attorney carries stamp duty of 10 THB for a single act or 30 THB for more than one act.

Before you send anything

  • Sign first, then disclose. Information sent before signing is covered only if it was disclosed for the same Purpose (Clause 1.1), and it is harder to prove.
  • Mark important documents, files and samples "Confidential". Clause 1.1 also protects unmarked information that is obviously confidential, but a marking removes the argument.
  • Keep a simple log of what you sent, to whom, when and how (email, data room, USB, meeting). If a leak happens, you must show that the leaked information came from you.
  • Send only what the other side needs for the Purpose. An NDA helps you claim damages after a leak; it cannot pull the information back.

AI tools

  • The Receiving Party may use AI tools only if the provider is bound not to train on the input and to keep it confidential (Clause 6.2). Free or consumer versions of chatbots often allow training on what users type. Ask the other side which tools its staff use.- The Receiving Party may not put your information into any AI tool without your written consent (Clause 6.2). If it asks, you can consent by email and name the tools you accept.
  • Anything an AI tool produces from your information is also your Confidential Information (Clause 6.2).

Personal data

  • Each Party is a separate data controller for the contact details it receives (Clause 7.1).
  • You ticked that the information will include personal data. Disclose only what the Purpose needs, and anonymise it where you can (Clause 7.2). The Personal Data Protection Act B.E. 2562 (2019) requires a lawful basis for the disclosure and restricts transfers outside Thailand (sections 28–29). If the other side will actually process the data for you, sign a data processing agreement first (section 40 and Clause 7.3).- If you later need to share customer or employee data, do not rely on this Agreement alone. Add personal data terms, or sign a data processing agreement if the other side will process the data for you (Personal Data Protection Act section 40).

Trade secrets and the law

  • The Trade Secrets Act B.E. 2545 (2002) protects business information that is not generally known, has commercial value because it is secret, and that the owner takes appropriate steps to keep secret (section 3). Signing NDAs, marking documents and limiting access are the kind of steps a court looks for.
  • A court may order a person to stop using or disclosing a trade secret, including before a full trial (section 8). A claim for breach of trade secret must be brought within 3 years after the owner knew of the breach and the person responsible, and no later than 10 years after the breach (section 10).
  • Some disclosures of secrets learned through a profession or official duty are also criminal offences under Thai law. The Agreement cannot stop anyone from reporting to the authorities or giving evidence (Clause 5.2).

If something leaks

  • Send a written notice at once, describing the breach and requiring the other side to stop and to return or destroy the information (Clause 8 and Clause 12.2). The Receiving Party must tell you within 48 hours when it discovers a leak (Clause 6.3).
  • Collect evidence: the leaked material, where it appeared, and your log of what you disclosed.
  • The fixed amount in Clause 12.3 is a penalty under Thai law. You may claim it without proving your exact loss, and claim more if you can prove a larger loss (Civil and Commercial Code section 380). A court may reduce it if it is disproportionately high (section 383).
  • If the other side is abroad, a Thai judgment may be hard to enforce in its country. An injunction in the country where the information is being used is often the fastest remedy — Clause 14.4 allows it whatever forum you chose.

Signing and evidence

  • A company should sign through the director or directors authorised in its latest company affidavit or, for a foreign company, the equivalent document from its home country, and affix the company seal if its rules require one.
  • Clause 15.7 allows electronic signatures and signed PDF copies. Keep the final signed file unchanged, together with your disclosure log.

If the case goes to a Thai court

  • A Thai court works in Thai. A Party that relies on this Agreement, or on English emails and documents, must file a Thai translation certified as accurate. Budget for this cost.
  • You chose arbitration. Thailand is a party to the New York Convention of 1958, so an award made in Bangkok can be enforced in most countries where the other side has assets. An award still needs a Thai translation to be enforced through a Thai court.

การละเมิดสิทธิในความลับทางการค้าตามพระราชบัญญัตินี้ ได้แก่ การ กระทำที่เป็นการเปิดเผย เอาไป หรือใช้ซึ่งความลับทางการค้าโดยไม่ได้รับความยินยอมจากเจ้าของ ความลับทางการค้านั้น อันมีลักษณะขัดต่อแนวทางปฏิบัติในเชิงพาณิชย์ที่สุจริตต่อกัน ทั้งนี้ ผู้ละเมิด จะต้องรู้หรือมีเหตุอันควรรู้ว่าการกระทำดังกล่าวเป็นการขัดต่อแนวทางปฏิบัติเช่นว่านั้น การกระทำที่มีลักษณะขัดต่อแนวทางปฏิบัติในเชิงพาณิชย์ที่สุจริตต่อกันตามวรรค หนึ่ง หมายความรวมถึงการผิดสัญญา การละเมิดหรือการกระทำในประการที่เป็นการจูงใจให้ละเมิด ความลับอันเป็นที่ไว้เนื้อเชื่อใจต่อกัน การติดสินบน การข่มขู่ การฉ้อโกง การลักทรัพย์ การรับของโจร หรือการจารกรรม โดยใช้วิธีการทางอิเล็กทรอนิกส์หรือวิธีการอื่นใดด้วย

การกระทำอย่างใดอย่างหนึ่งดังต่อไปนี้แก่ความลับทางการค้า มิให้ถือว่า เป็นการละเมิดสิทธิในความลับทางการค้า (1) การเปิดเผยหรือใช้ซึ่งความลับทางการค้าโดยบุคคลที่ได้ความลับทางการค้านั้น มาโดยทางนิติกรรม โดยไม่รู้หรือไม่มีเหตุอันควรรู้ว่าความลับทางการค้านั้น คู่สัญญาอีกฝ่ายหนึ่งได้มา โดยการละเมิดสิทธิในความลับทางการค้าของบุคคลอื่น (2) การเปิดเผยหรือใช้ซึ่งความลับทางการค้าโดยหน่วยงานของรัฐซึ่งดูแลรักษา ความลับทางการค้านั้นในกรณีดังต่อไปนี้ (ก) ในกรณีจำเป็นเพื่อคุ้มครองสุขภาพอนามัยหรือความปลอดภัยของ สาธารณชน หรือ (ข) ในกรณีจำเป็นเพื่อประโยชน์สาธารณะอย่างอื่นซึ่งมิได้มีวัตถุประสงค์เพื่อ การค้า และในกรณีดังกล่าว หน่วยงานของรัฐซึ่งดูแลรักษาความลับทางการค้านั้น หรือหน่วยงานของ รัฐหรือบุคคลที่เกี่ยวข้องซึ่งได้ความลับทางการค้านั้นไป ได้ดำเนินการตามขั้นตอนเพื่อคุ้มครอง ความลับทางการค้าดังกล่าวจากการนำไปใช้ในเชิงพาณิชย์ที่ไม่เป็นธรรม (3) การค้นพบโดยอิสระ ซึ่งได้แก่การค้นพบความลับทางการค้าของผู้อื่น โดยผู้ ค้นพบได้ใช้วิธีการประดิษฐ์หรือจัดทำขึ้นด้วยความรู้ความชำนาญของผู้ค้นพบนั้นเอง หรือ (4) การทำวิศวกรรมย้อนกลับ ซึ่งได้แก่การค้นพบความลับทางการค้าของผู้อื่น โดย ผู้ค้นพบได้ทำการประเมินและศึกษาวิเคราะห์ผลิตภัณฑ์ที่เป็นที่รู้จักกันทั่วไป เพื่อค้นคว้าหาวิธีที่ ผลิตภัณฑ์นั้นได้รับการประดิษฐ์ จัดทำ หรือพัฒนา แต่ทั้งนี้ บุคคลซึ่งทำการประเมินและศึกษา วิเคราะห์ดังกล่าวจะต้องได้ผลิตภัณฑ์เช่นว่านั้นมาโดยวิธีที่สุจริต การกระทำตาม (4) ไม่อาจถูกยกขึ้นกล่าวอ้างได้ ถ้าบุคคลซึ่งทำวิศวกรรมย้อนกลับ ดังกล่าวได้ทำสัญญากับเจ้าของความลับทางการค้าหรือผู้ขายผลิตภัณฑ์ที่ทำวิศวกรรมย้อนกลับไว้เป็น อย่างอื่นโดยชัดแจ้ง

ในกรณีที่ผู้ควบคุมข้อมูลส่วนบุคคลส่งหรือโอนข้อมูลส่วนบุคคลไปยังต่างประเทศ ประเทศปลายทางหรือองค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคลต้องมีมาตรฐานการคุ้มครองข้อมูล ส่วนบุคคลที่เพียงพอ ทั้งนี้ ต้องเป็นไปตามหลักเกณฑ์การให้ความคุ้มครองข้อมูลส่วนบุคคลตามที่ คณะกรรมการประกาศกำหนดตามมาตรา 16 (5) เว้นแต่ (1) เป็นการปฏิบัติตามกฎหมาย (2) ได้รับความยินยอมจากเจ้าของข้อมูลส่วนบุคคลโดยได้แจ้งให้เจ้าของข้อมูลส่วนบุคคลทราบถึง มาตรฐานการคุ้มครองข้อมูลส่วนบุคคลที่ไม่เพียงพอของประเทศปลายทางหรือองค์การระหว่างประเทศ ที่รับข้อมูลส่วนบุคคลแล้ว (3) เป็นการจำเป็นเพื่อการปฏิบัติตามสัญญาซึ่งเจ้าของข้อมูลส่วนบุคคลเป็นคู่สัญญาหรือ เพื่อใช้ในการดำเนินการตามคำขอของเจ้าของข้อมูลส่วนบุคคลก่อนเข้าทำสัญญานั้น (4) เป็นการกระทำตามสัญญาระหว่างผู้ควบคุมข้อมูลส่วนบุคคลกับบุคคลหรือนิติบุคคลอื่น เพื่อประโยชน์ของเจ้าของข้อมูลส่วนบุคคล (5) เพื่อป้องกันหรือระงับอันตรายต่อชีวิต ร่างกาย หรือสุขภาพของเจ้าของข้อมูลส่วนบุคคล หรือบุคคลอื่น เมื่อเจ้าของข้อมูลส่วนบุคคลไม่สามารถให้ความยินยอมในขณะนั้นได้ (6) เป็นการจำเป็นเพื่อการดำเนินภารกิจเพื่อประโยชน์สาธารณะที่สำคัญ ในกรณีที่มีปัญหาเกี่ยวกับมาตรฐานการคุ้มครองข้อมูลส่วนบุคคลที่เพียงพอของประเทศปลายทาง หรือองค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคล ให้เสนอต่อคณะกรรมการเป็นผู้วินิจฉัย ทั้งนี้ คำวินิจฉัยของคณะกรรมการอาจขอให้ทบทวนได้เมื่อมีหลักฐานใหม่ทำให้เชื่อได้ว่าประเทศปลายทางหรือ องค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคลมีการพัฒนาจนมีมาตรฐานการคุ้มครองข้อมูลส่วนบุคคล ที่เพียงพอ

พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 37

ผู้ควบคุมข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ และต้องทบทวน มาตรการดังกล่าวเมื่อมีความจำเป็นหรือเมื่อเทคโนโลยีเปลี่ยนแปลงไปเพื่อให้มีประสิทธิภาพในการรักษา ความมั่นคงปลอดภัยที่เหมาะสม ทั้งนี้ ให้เป็นไปตามมาตรฐานขั้นต่ำที่คณะกรรมการประกาศกำหนด (2) ในกรณีที่ต้องให้ข้อมูลส่วนบุคคลแก่บุคคลหรือนิติบุคคลอื่นที่ไม่ใช่ผู้ควบคุมข้อมูลส่วนบุคคล ต้องดำเนินการเพื่อป้องกันมิให้ผู้นั้นใช้หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ (3) จัดให้มีระบบการตรวจสอบเพื่อดำเนินการลบหรือทำลายข้อมูลส่วนบุคคลเมื่อพ้นกำหนด ระยะเวลาการเก็บรักษา หรือที่ไม่เกี่ยวข้องหรือเกินความจำเป็นตามวัตถุประสงค์ในการเก็บรวบรวม ข้อมูลส่วนบุคคลนั้น หรือตามที่เจ้าของข้อมูลส่วนบุคคลร้องขอ หรือที่เจ้าของข้อมูลส่วนบุคคล ได้ถอนความยินยอม เว้นแต่เก็บรักษาไว้เพื่อวัตถุประสงค์ในการใช้เสรีภาพในการแสดงความคิดเห็น การเก็บรักษาไว้เพื่อวัตถุประสงค์ตามมาตรา 24 (1) หรือ (4) หรือมาตรา 26 (5) (ก) หรือ (ข) การใช้เพื่อการก่อตั้งสิทธิเรียกร้องตามกฎหมาย การปฏิบัติตามหรือการใช้สิทธิเรียกร้องตามกฎหมาย หรือการยกขึ้นต่อสู้สิทธิเรียกร้องตามกฎหมาย หรือเพื่อการปฏิบัติตามกฎหมาย ทั้งนี้ ให้นำความใน

ผู้ประมวลผลข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) ดำเนินการเกี่ยวกับการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามคำสั่งที่ได้รับ จากผู้ควบคุมข้อมูลส่วนบุคคลเท่านั้น เว้นแต่คำสั่งนั้นขัดต่อกฎหมายหรือบทบัญญัติในการคุ้มครอง ข้อมูลส่วนบุคคลตามพระราชบัญญัตินี้ (2) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ รวมทั้ง แจ้งให้ผู้ควบคุมข้อมูลส่วนบุคคลทราบถึงเหตุการละเมิดข้อมูลส่วนบุคคลที่เกิดขึ้น (3) จัดทำและเก็บรักษาบันทึกรายการของกิจกรรมการประมวลผลข้อมูลส่วนบุคคลไว้ ตามหลักเกณฑ์และวิธีการที่คณะกรรมการประกาศกำหนด ผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งไม่ปฏิบัติตาม (1) สำหรับการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลใด ให้ถือว่าผู้ประมวลผลข้อมูลส่วนบุคคลเป็นผู้ควบคุมข้อมูลส่วนบุคคลสำหรับ การเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลนั้น การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลตามที่ได้รับมอบหมายจากผู้ควบคุม ข้อมูลส่วนบุคคลตามวรรคหนึ่ง ผู้ควบคุมข้อมูลส่วนบุคคลต้องจัดให้มีข้อตกลงระหว่างกัน เพื่อควบคุม การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลให้เป็นไปตามพระราชบัญญัตินี้ ความใน (3) อาจยกเว้นมิให้นำมาใช้บังคับกับผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งเป็นกิจการ ขนาดเล็กตามหลักเกณฑ์ที่คณะกรรมการประกาศกำหนด เว้นแต่มีการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลที่มีความเสี่ยงที่จะมีผลกระทบต่อสิทธิและเสรีภาพของเจ้าของข้อมูลส่วนบุคคล หรือ มิใช่กิจการที่เก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลเป็นครั้งคราว หรือมีการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามมาตรา 26

ตราสารใดไม่ปิดแสตมป์บริบูรณ์ จะใช้ต้นฉบับ คู่ฉบับ คู่ฉีก หรือสำเนาตราสารนั้นเป็นพยานหลักฐานในคดีแพ่งไม่ได้ จนกว่าจะได้เสียอากรโดยปิดแสตมป์ครบจำนวนตามอัตราในบัญชีท้ายหมวดนี้ และขีดฆ่าแล้ว แต่ทั้งนี้ ไม่เป็นการเสื่อมสิทธิที่จะเรียกเงินเพิ่มอากรตามมาตรา 113 และมาตรา 114
