Setting up the programme

  • Set the attribution window (… days) and the approval delay (at least … days after delivery) in the Tracking System exactly as stated in this Agreement. Differences between the contract and the system are the most common source of disputes.
  • Give the Affiliate its links and codes through the Tracking System, and check that orders using an Affiliate Code are credited even when the customer did not click a link (Clause 3.2(b)).
  • A Merchant selling online to consumers may need to register its business under the laws on e-commerce and direct marketing, and must honour consumers' statutory rights. These duties stay with the Merchant (Clause 9.1).

Promotion and disclosure

  • The Affiliate must say, next to each link or code, that it may earn a commission (Clause 6.2). Hidden affiliate links can mislead consumers and breach platform rules.
  • The Merchant should tell the Affiliate in writing which claims are not allowed, especially for food supplements, cosmetics, drugs, medical devices and financial products (Clause 6.3).
  • Marketing messages by email, SMS or chat may be sent only to people who agreed to receive them and did not object (Clause 6.4(e)).

Suspected fraud

  • Withhold Commission only for the specific orders you suspect, and notify the Affiliate in writing within 10 Business Days with your reasons (Clause 7.1). Keep the evidence, such as order patterns, IP data from the Tracking System and chargeback notices.
  • Commission already paid can be recovered only for fraudulent orders identified within 90 days after payment (Clause 5.4). Ordinary returns for defective products do not reduce Commission that has been paid.

When the Agreement ends

  • Either Party may end the Agreement on … days' notice (Clause 10.2). Commission on sales made before the end date remains payable after the Return Period (Clause 10.4(b)), and any balance below the minimum payout is paid in full.
  • The Affiliate must remove the Merchant's materials and links within 15 days, except from archived content where that is not reasonably possible.

Signing and evidence

  • A company should sign through the director or directors authorised in its latest company affidavit. Clause 13.5 allows electronic signatures and signed PDF copies.
  • Keep monthly statements, Tracking System exports, correspondence about disputed orders, payment slips and withholding tax certificates. A Thai court requires a certified Thai translation of English documents.

เจ้าของข้อมูลส่วนบุคคลมีสิทธิคัดค้านการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูล ส่วนบุคคลที่เกี่ยวกับตนเมื่อใดก็ได้ ดังต่อไปนี้ (1) กรณีที่เป็นข้อมูลส่วนบุคคลที่เก็บรวบรวมได้โดยได้รับยกเว้นไม่ต้องขอความยินยอม ตามมาตรา 24 (4) หรือ (5) เว้นแต่ผู้ควบคุมข้อมูลส่วนบุคคลพิสูจน์ได้ว่า (ก) การเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลนั้น ผู้ควบคุมข้อมูลส่วนบุคคล ได้แสดงให้เห็นถึงเหตุอันชอบด้วยกฎหมายที่สำคัญยิ่งกว่า (ข) การเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลนั้นเป็นไปเพื่อก่อตั้งสิทธิเรียกร้อง ตามกฎหมาย การปฏิบัติตามหรือการใช้สิทธิเรียกร้องตามกฎหมาย หรือการยกขึ้นต่อสู้สิทธิเรียกร้อง ตามกฎหมาย (2) กรณีที่เป็นการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลเพื่อวัตถุประสงค์เกี่ยวกับ การตลาดแบบตรง (3) กรณีที่เป็นการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลเพื่อวัตถุประสงค์เกี่ยวกับ การศึกษาวิจัยทางวิทยาศาสตร์ ประวัติศาสตร์ หรือสถิติ เว้นแต่เป็นการจำเป็นเพื่อการดำเนินภารกิจ เพื่อประโยชน์สาธารณะของผู้ควบคุมข้อมูลส่วนบุคคล ในกรณีที่เจ้าของข้อมูลส่วนบุคคลใช้สิทธิคัดค้านตามวรรคหนึ่ง ผู้ควบคุมข้อมูลส่วนบุคคล ไม่สามารถเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลนั้นต่อไปได้ ทั้งนี้ ผู้ควบคุมข้อมูลส่วนบุคคล ต้องปฏิบัติโดยแยกส่วนออกจากข้อมูลอื่นอย่างชัดเจนในทันทีเมื่อเจ้าของข้อมูลส่วนบุคคลได้แจ้ง การคัดค้านให้ผู้ควบคุมข้อมูลส่วนบุคคลทราบ ในกรณีที่ผู้ควบคุมข้อมูลส่วนบุคคลปฏิเสธการคัดด้านด้วยเหตุผลตาม (1) (ก) หรือ (ข) หรือ (3) ให้ผู้ควบคุมข้อมูลส่วนบุคคลบันทึกการปฏิเสธการคัดค้านพร้อมด้วยเหตุผลไว้ในรายการ ตามมาตรา 39

เงินได้พึงประเมินนั้นคือ เงินได้ประเภทดังต่อไปนี้ รวมตลอดถึงเงินค่าภาษีอากรที่ผู้จ่ายเงินหรือผู้อื่นออกแทนให้สำหรับเงินได้ประเภทต่าง ๆ ดังกล่าว ไม่ว่าในทอดใด (1) เงินได้เนื่องจากการจ้างแรงงานไม่ว่าจะเป็นเงินเดือน ค่าจ้าง เบี้ยเลี้ยง โบนัส เบี้ยหวัด บำเหน็จ บำนาญ เงินค่าเช่าบ้าน เงินที่คำนวณได้จากมูลค่าของการได้อยู่บ้านที่นายจ้างให้อยู่โดยไม่เสียค่าเช่า เงินที่นายจ้างจ่ายชำระหนี้ใด ๆ ซึ่งลูกจ้างมีหน้าที่ต้องชำระ และเงิน ทรัพย์สิน หรือประโยชน์ใด ๆ บรรดาที่ได้เนื่องจากการจ้างแรงงาน (2) เงินได้เนื่องจากหน้าที่หรือตำแหน่งงานที่ทำหรือจากการรับทำงานให้ ไม่ว่าจะเป็นค่าธรรมเนียม ค่านายหน้า ค่าส่วนลด เงินอุดหนุนในงานที่ทำ เบี้ยประชุม บำเหน็จ โบนัส เงินค่าเช่าบ้าน เงินที่คำนวณได้จากมูลค่าของการได้อยู่บ้านที่ผู้จ่ายเงินได้ให้อยู่โดยไม่เสียค่าเช่า เงินที่ผู้จ่ายเงินได้จ่ายชำระหนี้ใด ๆ ซึ่งผู้มีเงินได้มีหน้าที่ต้องชำระ และเงิน ทรัพย์สิน หรือประโยชน์ใด ๆ บรรดาที่ได้เนื่องจากหน้าที่หรือตำแหน่งงานที่ทำหรือจากการรับทำงานให้นั้น ไม่ว่าหน้าที่หรือตำแหน่งงานหรืองานที่รับทำให้นั้นจะเป็นการประจำหรือชั่วคราว (3) ค่าแห่งกู๊ดวิลล์ ค่าแห่งลิขสิทธิ์ หรือสิทธิอย่างอื่น เงินปีหรือเงินได้มีลักษณะเป็นเงินรายปีอันได้มาจากพินัยกรรม นิติกรรมอย่างอื่น หรือคำพิพากษาของศาล (4) เงินได้ที่เป็น (ก) ดอกเบี้ยพันธบัตร ดอกเบี้ยเงินฝาก ดอกเบี้ยหุ้นกู้ ดอกเบี้ยตั๋วเงิน ดอกเบี้ยเงินกู้ยืมไม่ว่าจะมีหลักประกันหรือไม่ ดอกเบี้ยเงินกู้ยืมที่อยู่ในบังคับต้องถูกหักภาษีไว้ ณ ที่จ่ายตามกฎหมายว่าด้วยภาษีเงินได้ปิโตรเลียมเฉพาะส่วนที่เหลือจากถูกหักภาษีไว้ ณ ที่จ่ายตามกฎหมายดังกล่าว หรือผลต่างระหว่างราคาไถ่ถอนกับราคาจำหน่ายตั๋วเงินหรือตราสารแสดงสิทธิในหนี้ที่บริษัทหรือห้างหุ้นส่วนนิติบุคคล หรือนิติบุคคลอื่นเป็นผู้ออกและจำหน่ายครั้งแรกในราคาต่ำกว่าราคาไถ่ถอน รวมทั้งเงินได้ที่มีลักษณะทำนองเดียวกันกับดอกเบี้ย ผลประโยชน์หรือค่าตอบแทนอื่น ๆ ที่ได้จากการให้กู้ยืมหรือจากสิทธิเรียกร้องในหนี้ทุกชนิดไม่ว่าจะมีหลักประกันหรือไม่ก็ตาม (ข) เงินปันผล เงินส่วนแบ่งของกำไร หรือประโยชน์อื่นใดที่ได้จากบริษัทหรือห้างหุ้นส่วนนิติบุคคล หรือสถาบันการเงินที่มีกฎหมายโดยเฉพาะของประเทศไทยจัดตั้งขึ้นสำหรับให้กู้ยืมเงินเพื่อส่งเสริมเกษตรกรรม พาณิชยกรรม หรืออุตสาหกรรม เงินปันผลหรือเงินส่วนแบ่งของกำไรที่อยู่ในบังคับต้องถูกหักภาษีไว้ ณ ที่จ่าย ตามกฎหมายว่าด้วยภาษีเงินได้ปิโตรเลียมเฉพาะส่วนที่เหลือจากถูกหักภาษีไว้ ณ ที่จ่ายตามกฎหมายดังกล่าว
