How the framework works
- This Agreement holds the legal terms. Nothing is ordered until both Parties sign a Statement of Work (SOW) in the form of Schedule 1 (Clause 2.1). Number each SOW and keep it with this Agreement.
- A SOW cannot quietly override the legal terms. If a project needs a different rule, for example a higher liability cap, the SOW must name the clause it changes (Clause 2.4).
- Change Requests are how scope creep is priced. Do not start extra work on a chat message; get the Change Request approved by the person authorised in the SOW (Clause 5.3).
- Expiry of this Agreement does not end a SOW in progress (Clause 3.2). This Agreement renews every year unless notice of non-renewal is given … days before the end of the current period.This Agreement ends after … years; renew it in writing before then if more projects are expected.
Stamp duty — on each SOW, not only on this Agreement
- A signed SOW with a price is a hire of work (Instrument 4 of the Stamp Duty Schedule), and the Supplier pays the duty: 1 THB for every 1,000 THB or part of 1,000 THB of the SOW Fees (Clause 9.3). This Agreement on its own states no price, so the duty follows each SOW.
- For the first SOW in Schedule 3, the duty on the original is the amount the system calculates from the figures entered, and each counterpart carries the amount the system calculates from the figures entered.convert its estimated Fees to Thai Baht at the exchange rate on the date of signing and calculate the duty on that amount.
- For time and materials, stamp the SOW on its estimate and pay additional duty if the Fees actually received exceed it. If a SOW is signed electronically, pay the duty through the Revenue Department's e-Stamp Duty system within 15 days after signing.
- An unstamped SOW cannot be used as evidence in a Thai civil court until the duty and a surcharge are paid.
Tax on cross-border projects
- Thai Supplier, foreign Client: the Fees are taxable income of the Supplier in Thailand. The Client's country may require withholding; a double tax treaty often reduces it. Ask for the certificate (Clause 9.2) so that the tax can be credited. A VAT-registered Supplier whose services are performed in Thailand and used abroad may be able to apply VAT at 0% if the Revenue Department's conditions and documents are met.
- Thai Client, foreign Supplier: the Client usually has to withhold Thai tax on fees paid abroad and may have to self-assess VAT on services used in Thailand. Take accounting advice before the first payment, especially because you ticked gross-up.
- Both in Thailand: a Thai company normally withholds 3% of service fees and issues a certificate.
Keep the Supplier's team the Supplier's team
- Instructions go to the Supplier's project lead, not to individual staff (Clause 6.4). If the Client manages the Supplier's people as if they were its own staff in its core business, Thai labour law may treat the Client as their employer (Labour Protection Act section 11/1), with liability for their wages and severance.
- Foreign personnel of the Supplier working in Thailand need their own work permits, arranged by the Supplier.
Intellectual property, AI and security
- Unless a SOW says otherwise, the Client owns Deliverables once paid, and the Supplier keeps its reusable Supplier Tools with a licence to the Client (Clause 10). A transfer of copyright must be in writing and signed by both Parties, so make sure every SOW is signed, not only agreed by email.- Unless a SOW says otherwise, the Supplier owns the Deliverables and the Client receives a permanent licence once paid (Clause 10.2). If the Client needs to own a particular Deliverable, say so in its SOW.
- Check open-source licences before software is delivered (Clause 10.4). A "copyleft" licence can require publication of the Client's own code.
- AI Tools may be used only under Clause 11: no training on the Client's data, human review, and disclosure on request. A synthetic voice or likeness of a real person needs that person's separate written consent.
- Remove the Supplier's access to your systems the day a SOW ends (Clause 21.6(e)).
Personal data
- Where a SOW says the Supplier processes personal data for the Client, the Client is the controller and the Supplier the processor (Clause 15.3). The Personal Data Protection Act requires a written processing arrangement of this kind (section 40) and restricts transfers abroad (sections 28 and 29). The controller must usually notify the regulator of a breach within 72 hours (section 37), which is why the Supplier must report within 48 hours.
- State in each SOW what data is processed and where. Remote access from another country counts as a transfer.
Interest, liability and evidence
- Late payment interest is agreed at …% per year. The statutory rate for money debts is 5% per year, and a Thai court may reduce an agreed rate that is excessive.
- Liability is capped per SOW (Clause 19.2), but not for confidentiality, personal data, fraud, gross negligence or personal injury (Clause 19.3).
- Keep this Agreement, every signed SOW and Change Request, acceptance notices, time records, invoices, withholding certificates and payment slips together. Written approval by the right person is what proves a change.

- Each Party signs through its authorised director, as shown in its company affidavit or home registration document. Clause 24.8 allows electronic signatures and signed PDF copies for this Agreement and every SOW.
- A Thai court works in Thai, so a Party relying on this Agreement in court must file a certified Thai translation. If the other Party has no assets in Thailand, an arbitral award is easier to enforce abroad than a Thai judgment, but short payment terms and the right to suspend work (Clause 8.4) usually protect a Supplier better than any lawsuit.

พ.ร.บ.ลิขสิทธิ์ พ.ศ. 2537 มาตรา 17
ลิขสิทธิ์นั้นย่อมโอนให้แก่กันได้ เจ้าของลิขสิทธิ์อาจโอนลิขสิทธิ์ของตนทั้งหมดหรือแต่บางส่วนให้แก่บุคคลอื่นได้ และจะโอน ให้โดยมีกำหนดเวลาหรือตลอดอายุแห่งการคุ้มครองลิขสิทธิ์ก็ได้ การโอนลิขสิทธิ์ตามวรรคสองซึ่งมิใช่ทางมรดกต้องทำเป็นหนังสือลงลายมือชื่อผู้โอน และผู้รับโอน ถ้าไม่ได้กำหนดระยะเวลาไว้ในสัญญาโอน ให้ถือว่าเป็นการโอนมีกำหนดระยะเวลาสิบปี

พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 28
ในกรณีที่ผู้ควบคุมข้อมูลส่วนบุคคลส่งหรือโอนข้อมูลส่วนบุคคลไปยังต่างประเทศ ประเทศปลายทางหรือองค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคลต้องมีมาตรฐานการคุ้มครองข้อมูล ส่วนบุคคลที่เพียงพอ ทั้งนี้ ต้องเป็นไปตามหลักเกณฑ์การให้ความคุ้มครองข้อมูลส่วนบุคคลตามที่ คณะกรรมการประกาศกำหนดตามมาตรา 16 (5) เว้นแต่ (1) เป็นการปฏิบัติตามกฎหมาย (2) ได้รับความยินยอมจากเจ้าของข้อมูลส่วนบุคคลโดยได้แจ้งให้เจ้าของข้อมูลส่วนบุคคลทราบถึง มาตรฐานการคุ้มครองข้อมูลส่วนบุคคลที่ไม่เพียงพอของประเทศปลายทางหรือองค์การระหว่างประเทศ ที่รับข้อมูลส่วนบุคคลแล้ว (3) เป็นการจำเป็นเพื่อการปฏิบัติตามสัญญาซึ่งเจ้าของข้อมูลส่วนบุคคลเป็นคู่สัญญาหรือ เพื่อใช้ในการดำเนินการตามคำขอของเจ้าของข้อมูลส่วนบุคคลก่อนเข้าทำสัญญานั้น (4) เป็นการกระทำตามสัญญาระหว่างผู้ควบคุมข้อมูลส่วนบุคคลกับบุคคลหรือนิติบุคคลอื่น เพื่อประโยชน์ของเจ้าของข้อมูลส่วนบุคคล (5) เพื่อป้องกันหรือระงับอันตรายต่อชีวิต ร่างกาย หรือสุขภาพของเจ้าของข้อมูลส่วนบุคคล หรือบุคคลอื่น เมื่อเจ้าของข้อมูลส่วนบุคคลไม่สามารถให้ความยินยอมในขณะนั้นได้ (6) เป็นการจำเป็นเพื่อการดำเนินภารกิจเพื่อประโยชน์สาธารณะที่สำคัญ ในกรณีที่มีปัญหาเกี่ยวกับมาตรฐานการคุ้มครองข้อมูลส่วนบุคคลที่เพียงพอของประเทศปลายทาง หรือองค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคล ให้เสนอต่อคณะกรรมการเป็นผู้วินิจฉัย ทั้งนี้ คำวินิจฉัยของคณะกรรมการอาจขอให้ทบทวนได้เมื่อมีหลักฐานใหม่ทำให้เชื่อได้ว่าประเทศปลายทางหรือ องค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคลมีการพัฒนาจนมีมาตรฐานการคุ้มครองข้อมูลส่วนบุคคล ที่เพียงพอ

ในกรณีที่ผู้ควบคุมข้อมูลส่วนบุคคลหรือผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งอยู่ ในราชอาณาจักรได้กำหนดนโยบายในการคุ้มครองข้อมูลส่วนบุคคลเพื่อการส่งหรือโอนข้อมูลส่วนบุคคล ไปยังผู้ควบคุมข้อมูลส่วนบุคคลหรือผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งอยู่ต่างประเทศและอยู่ในเครือกิจการ หรือเครือธุรกิจเดียวกันเพื่อการประกอบกิจการหรือธุรกิจร่วมกัน หากนโยบายในการคุ้มครองข้อมูล ส่วนบุคคลดังกล่าวได้รับการตรวจสอบและรับรองจากสำนักงาน การส่งหรือโอนข้อมูลส่วนบุคคลไปยัง ต่างประเทศที่เป็นไปตามนโยบายในการคุ้มครองข้อมูลส่วนบุคคลที่ได้รับการตรวจสอบและรับรองดังกล่าว ให้สามารถกระทำได้โดยได้รับยกเว้นไม่ต้องปฏิบัติตามมาตรา 28 นโยบายในการคุ้มครองข้อมูลส่วนบุคคล ลักษณะของเครือกิจการหรือเครือธุรกิจเดียวกัน เพื่อการประกอบกิจการหรือธุรกิจร่วมกัน และหลักเกณฑ์และวิธีการตรวจสอบและรับรองตามวรรคหนึ่ง ให้เป็นไปตามที่คณะกรรมการประกาศกำหนด ในกรณีที่ยังไม่มีคำวินิจฉัยของคณะกรรมการตามมาตรา 28 หรือยังไม่มีนโยบายในการคุ้มครอง ข้อมูลส่วนบุคคลตามวรรคหนึ่ง ผู้ควบคุมข้อมูลส่วนบุคคลหรือผู้ประมวลผลข้อมูลส่วนบุคคลอาจส่ง หรือโอนข้อมูลส่วนบุคคลไปยังต่างประเทศได้โดยได้รับยกเว้นไม่ต้องปฏิบัติตามมาตรา 28 เมื่อผู้ควบคุม ข้อมูลส่วนบุคคลหรือผู้ประมวลผลข้อมูลส่วนบุคคลได้จัดให้มีมาตรการคุ้มครองที่เหมาะสมสามารถบังคับ ตามสิทธิของเจ้าของข้อมูลส่วนบุคคลได้ รวมทั้งมีมาตรการเยียวยาทางกฎหมายที่มีประสิทธิภาพ ตามหลักเกณฑ์และวิธีการที่คณะกรรมการประกาศกำหนด

พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 37
ผู้ควบคุมข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ และต้องทบทวน มาตรการดังกล่าวเมื่อมีความจำเป็นหรือเมื่อเทคโนโลยีเปลี่ยนแปลงไปเพื่อให้มีประสิทธิภาพในการรักษา ความมั่นคงปลอดภัยที่เหมาะสม ทั้งนี้ ให้เป็นไปตามมาตรฐานขั้นต่ำที่คณะกรรมการประกาศกำหนด (2) ในกรณีที่ต้องให้ข้อมูลส่วนบุคคลแก่บุคคลหรือนิติบุคคลอื่นที่ไม่ใช่ผู้ควบคุมข้อมูลส่วนบุคคล ต้องดำเนินการเพื่อป้องกันมิให้ผู้นั้นใช้หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ (3) จัดให้มีระบบการตรวจสอบเพื่อดำเนินการลบหรือทำลายข้อมูลส่วนบุคคลเมื่อพ้นกำหนด ระยะเวลาการเก็บรักษา หรือที่ไม่เกี่ยวข้องหรือเกินความจำเป็นตามวัตถุประสงค์ในการเก็บรวบรวม ข้อมูลส่วนบุคคลนั้น หรือตามที่เจ้าของข้อมูลส่วนบุคคลร้องขอ หรือที่เจ้าของข้อมูลส่วนบุคคล ได้ถอนความยินยอม เว้นแต่เก็บรักษาไว้เพื่อวัตถุประสงค์ในการใช้เสรีภาพในการแสดงความคิดเห็น การเก็บรักษาไว้เพื่อวัตถุประสงค์ตามมาตรา 24 (1) หรือ (4) หรือมาตรา 26 (5) (ก) หรือ (ข) การใช้เพื่อการก่อตั้งสิทธิเรียกร้องตามกฎหมาย การปฏิบัติตามหรือการใช้สิทธิเรียกร้องตามกฎหมาย หรือการยกขึ้นต่อสู้สิทธิเรียกร้องตามกฎหมาย หรือเพื่อการปฏิบัติตามกฎหมาย ทั้งนี้ ให้นำความใน

พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 40
ผู้ประมวลผลข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) ดำเนินการเกี่ยวกับการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามคำสั่งที่ได้รับ จากผู้ควบคุมข้อมูลส่วนบุคคลเท่านั้น เว้นแต่คำสั่งนั้นขัดต่อกฎหมายหรือบทบัญญัติในการคุ้มครอง ข้อมูลส่วนบุคคลตามพระราชบัญญัตินี้ (2) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ รวมทั้ง แจ้งให้ผู้ควบคุมข้อมูลส่วนบุคคลทราบถึงเหตุการละเมิดข้อมูลส่วนบุคคลที่เกิดขึ้น (3) จัดทำและเก็บรักษาบันทึกรายการของกิจกรรมการประมวลผลข้อมูลส่วนบุคคลไว้ ตามหลักเกณฑ์และวิธีการที่คณะกรรมการประกาศกำหนด ผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งไม่ปฏิบัติตาม (1) สำหรับการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลใด ให้ถือว่าผู้ประมวลผลข้อมูลส่วนบุคคลเป็นผู้ควบคุมข้อมูลส่วนบุคคลสำหรับ การเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลนั้น การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลตามที่ได้รับมอบหมายจากผู้ควบคุม ข้อมูลส่วนบุคคลตามวรรคหนึ่ง ผู้ควบคุมข้อมูลส่วนบุคคลต้องจัดให้มีข้อตกลงระหว่างกัน เพื่อควบคุม การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลให้เป็นไปตามพระราชบัญญัตินี้ ความใน (3) อาจยกเว้นมิให้นำมาใช้บังคับกับผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งเป็นกิจการ ขนาดเล็กตามหลักเกณฑ์ที่คณะกรรมการประกาศกำหนด เว้นแต่มีการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลที่มีความเสี่ยงที่จะมีผลกระทบต่อสิทธิและเสรีภาพของเจ้าของข้อมูลส่วนบุคคล หรือ มิใช่กิจการที่เก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลเป็นครั้งคราว หรือมีการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามมาตรา 26

ประมวลรัษฎากร มาตรา 118
ตราสารใดไม่ปิดแสตมป์บริบูรณ์ จะใช้ต้นฉบับ คู่ฉบับ คู่ฉีก หรือสำเนาตราสารนั้นเป็นพยานหลักฐานในคดีแพ่งไม่ได้ จนกว่าจะได้เสียอากรโดยปิดแสตมป์ครบจำนวนตามอัตราในบัญชีท้ายหมวดนี้ และขีดฆ่าแล้ว แต่ทั้งนี้ ไม่เป็นการเสื่อมสิทธิที่จะเรียกเงินเพิ่มอากรตามมาตรา 113 และมาตรา 114
