Before the Service Centre starts
- Train and certify the technicians and give access to the service portal and diagnostic software before the Commencement Date (Clause 4.2). A Service Centre without at least … certified technicians for more than 60 days may be terminated (Clause 13.2).
- Put the full Warranty Policy on the Principal's website and give the Service Centre the current version. Schedule 2 is only a summary. Changes apply only to products sold after 30 days' notice (Clause 4.4).
- The words "Authorised Service Centre" and the brand logo may be used only to show that status (Clause 2.2). That use does not need a registered trademark licence. If the Service Centre is to sell goods or services under the brand, make a separate trademark licence and register it with the Department of Intellectual Property (Trademark Act section 68).
Customers and consumer protection
- Warranty Repairs are free for Customers (Clause 5.1). For Paid Repairs, the Service Centre sets its own prices but must give a written estimate and get the Customer's consent first (Clause 5.3). Clear job tickets and estimates prevent most consumer complaints.
- Customers often leave products uncollected. The Service Centre's own terms with Customers should say how long it keeps a product and what happens after that (Clause 5.4).
- Under the Unsafe Products Liability Act B.E. 2551 (2008), the manufacturer, importer and seller are jointly liable to a person injured by an unsafe product. The Principal indemnifies the Service Centre for design and manufacturing defects, and the Service Centre is responsible for its own workmanship (Clause 10.1 and Clause 10.2). Report safety incidents within 2 Business Days (Clause 9.1).
Data on Customers' devices
- Phones, computers and smart devices hold personal data. Under the Personal Data Protection Act B.E. 2562 (2019), the Service Centre acts as the Principal's data processor for warranty claims (Clause 8.1), which requires the written processing terms in that Clause (section 40). It is a separate controller for its own Paid Repair customers.
- Staff must not browse, copy or keep data on a device (Clause 8.2). Ask Customers to back up and remove passwords where possible, and get written consent before any factory reset.
Claims and audits
- Submit Claims within … days after each repair with photographs and serial numbers (Clause 6.1). The Principal must answer within 15 Business Days, or the Claim is treated as approved (Clause 6.2).
- The Principal may check paid Claims for 12 months and recover invalid ones with evidence (Clause 6.5). Keep job tickets, photographs and removed parts until the Principal's return period ends (Clause 7.3).
- Removed batteries and electronic parts must go to a licensed waste operator, never back into the market.
Stamp duty
- Warranty repairs carried out for the Principal are a hire of work (Instrument 4 of the Stamp Duty Schedule). The Service Centre pays duty of 1 THB for every 1,000 THB or part of 1,000 THB of the fees (Clause 6.6). Ending the Agreement
- Remove signs and logos within 14 days, finish or transfer open repairs, and return tools and software (Clause 13.3).
- The Principal buys back unused Genuine Parts bought in the last 12 months, less a …% handling charge, if asked within 30 days (Clause 13.4). This follows the principle that a supplier should not leave its network partner with stock it cannot use.
- Late payment interest is agreed at …% per year. The statutory default rate for money debts is 5% per year (Civil and Commercial Code section 224), and a Thai court may reduce an agreed rate that it finds excessive (section 383).

- Each Party signs through its authorised director, as shown in its company affidavit or home registration document. Clause 16.7 allows electronic signatures and signed PDF copies.

เจ้าของเครื่องหมายการค้าที่ได้จดทะเบียนแล้วจะทำสัญญาอนุญาตให้ บุคคลอื่นใช้เครื่องหมายการค้าของตน สำหรับสินค้าที่ได้จดทะเบียนไว้ทั้งหมดหรือบางอย่างก็ได้ สัญญาอนุญาตให้ใช้เครื่องหมายการค้าตามวรรคหนึ่ง ต้องทำเป็นหนังสือและจด ทะเบียนต่อนายทะเบียน การขอจดทะเบียนสัญญาอนุญาตดังกล่าวตามวรรคสอง ให้เป็นไปตามหลักเกณฑ์ และวิธีการที่กำหนดในกฎกระทรวง แต่คำขอจดทะเบียนนั้นอย่างน้อยต้องแสดงรายการดังต่อไปนี้ (1) เงื่อนไขหรือข้อกำหนดระหว่างเจ้าของเครื่องหมายการค้านั้น และผู้ขอจด ทะเบียนเป็นผู้ได้รับอนุญาต ที่จะทำให้เจ้าของเครื่องหมายการค้านั้นสามารถควบคุมคุณภาพของ สินค้าของผู้ขอจดทะเบียนเป็นผู้ได้รับอนุญาตได้อย่างแท้จริง (2) สินค้าที่จะได้รับอนุญาตให้ใช้เครื่องหมายการค้านั้น

ผู้ประมวลผลข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) ดำเนินการเกี่ยวกับการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามคำสั่งที่ได้รับ จากผู้ควบคุมข้อมูลส่วนบุคคลเท่านั้น เว้นแต่คำสั่งนั้นขัดต่อกฎหมายหรือบทบัญญัติในการคุ้มครอง ข้อมูลส่วนบุคคลตามพระราชบัญญัตินี้ (2) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ รวมทั้ง แจ้งให้ผู้ควบคุมข้อมูลส่วนบุคคลทราบถึงเหตุการละเมิดข้อมูลส่วนบุคคลที่เกิดขึ้น (3) จัดทำและเก็บรักษาบันทึกรายการของกิจกรรมการประมวลผลข้อมูลส่วนบุคคลไว้ ตามหลักเกณฑ์และวิธีการที่คณะกรรมการประกาศกำหนด ผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งไม่ปฏิบัติตาม (1) สำหรับการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลใด ให้ถือว่าผู้ประมวลผลข้อมูลส่วนบุคคลเป็นผู้ควบคุมข้อมูลส่วนบุคคลสำหรับ การเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลนั้น การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลตามที่ได้รับมอบหมายจากผู้ควบคุม ข้อมูลส่วนบุคคลตามวรรคหนึ่ง ผู้ควบคุมข้อมูลส่วนบุคคลต้องจัดให้มีข้อตกลงระหว่างกัน เพื่อควบคุม การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลให้เป็นไปตามพระราชบัญญัตินี้ ความใน (3) อาจยกเว้นมิให้นำมาใช้บังคับกับผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งเป็นกิจการ ขนาดเล็กตามหลักเกณฑ์ที่คณะกรรมการประกาศกำหนด เว้นแต่มีการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลที่มีความเสี่ยงที่จะมีผลกระทบต่อสิทธิและเสรีภาพของเจ้าของข้อมูลส่วนบุคคล หรือ มิใช่กิจการที่เก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลเป็นครั้งคราว หรือมีการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามมาตรา 26
