Setting up the sign-up page

  • Publish these Terms on their own page and link to them at sign-up. Before the final button, show the Plan, the price per Billing Cycle, the delivery charge, the date of the next charge and a plain statement that the subscription renews automatically until cancelled (Clause 3.1 and Clause 5.2). Use an unticked box for acceptance of the Terms and recurring payments.
  • Label the final button so that it is clear the customer is subscribing and agreeing to pay, for example "Subscribe and pay".
  • Make cancelling as easy as subscribing: a cancel button in the account and cancellation by email (Clause 8.1). Hidden or difficult cancellation is the most common complaint against subscription businesses and is treated as unfair in many countries.
  • Send a receipt for every charge with a cancellation link (Clause 5.3), and set an automatic reminder at least … days before a prepaid Plan renews (Clause 5.4).
  • Keep the deadline for changes consistent: the Cut-off is … days before each Renewal Date (Clause 2.1). Show it in the account page.

Card rules for recurring payments

  • Card schemes and payment providers have their own rules for recurring payments, such as storing the customer's consent, showing the descriptor on the statement and sending pre-renewal notices for long prepaid periods. Follow your payment provider's rules. Breaching them can lead to chargebacks and the loss of your merchant account.

Registrations and product rules

  • A business that sells to consumers online in Thailand is generally treated as a direct marketing business and must register with the Office of the Consumer Protection Board before it starts selling, and generally needs a commercial registration.
  • Food, supplements, cosmetics and pet food need Thai approvals and Thai-language labels before they can be sold in Thailand, and the destination country may have its own import permits and labelling rules. Check the rules for each item you put in a Box.

Consumer rights you cannot remove

  • Consumers who buy online have a legal right to cancel: at least 7 days after receipt in Thailand, 14 days in the European Union and the United Kingdom. You set … days in Clause 9.1. Refund within 14 days after the cancellation notice reaches you (Clause 9.2); Thai direct marketing rules count the refund period from the notice, not from the return of the items.
  • You chose a minimum commitment of … Boxes (Clause 8.3). A commitment that is long, that is not reflected in a lower price, or that is not shown clearly before sign-up may be unfair under the Unfair Contract Terms Act B.E. 2540 (1997) and under the consumer laws of other countries. Show it next to the price and keep it short.
  • A price increase or a significant change to a Plan needs … days' notice and a free right to cancel (Clause 7). Do not raise prices silently.
  • Do not require an unboxing video for claims about damaged or missing items (Clause 11.2).

Stamp duty

  • No stamp duty is payable. A subscription for the supply of goods is not an instrument listed in the Stamp Duty Schedule of the Thai Revenue Code.

Personal data

  • Publish a privacy notice at the address in Clause 14.1 that covers recurring billing, delivery partners, customs and transfers abroad (Personal Data Protection Act sections 23, 28 and 29).
  • Allergy and dietary information can be health data, which is sensitive data under section 26. Collect it only with a separate, explicit, optional consent, keep it to the minimum needed, and delete it when the subscriber withdraws consent or cancels (Clause 14.3).
  • Marketing messages need a separate consent (Clause 14.4). Receipts, reminders and delivery notices do not.
  • If a data breach happens, you must generally notify the Personal Data Protection Committee within 72 hours after becoming aware of it (section 37(4)).

Evidence to keep

  • For each subscriber: the version of these Terms accepted, the time of sign-up, the consent to recurring payments, every receipt and reminder sent, and every change, skip, pause or cancellation request with the time you received it.
  • Photographs of damaged Boxes, delivery tracking, refunds and replies to complaints.

If a dispute arises

  • A subscriber who disputes a charge usually goes to the card issuer first. Records of consent, reminders and easy cancellation are your best defence against chargebacks.
  • A Thai court works in Thai. Any English document used as evidence must be filed with a certified Thai translation.

ในการเก็บรวบรวมข้อมูลส่วนบุคคล ผู้ควบคุมข้อมูลส่วนบุคคลจะต้องแจ้ง ให้เจ้าของข้อมูลส่วนบุคคลทราบก่อนหรือในขณะเก็บรวบรวมข้อมูลส่วนบุคคลถึงรายละเอียด ดังต่อไปนี้ เว้นแต่เจ้าของข้อมูลส่วนบุคคลได้ทราบถึงรายละเอียดนั้นอยู่แล้ว (1) วัตถุประสงค์ของการเก็บรวบรวมเพื่อการนำข้อมูลส่วนบุคคลไปใช้หรือเปิดเผยซึ่งรวมถึง วัตถุประสงค์ตามที่มาตรา 24 ให้อำนาจในการเก็บรวบรวมได้โดยไม่ได้รับความยินยอมจากเจ้าของ ข้อมูลส่วนบุคคล (2) แจ้งให้ทราบถึงกรณีที่เจ้าของข้อมูลส่วนบุคคลต้องให้ข้อมูลส่วนบุคคลเพื่อปฏิบัติ ตามกฎหมายหรือสัญญาหรือมีความจำเป็นต้องให้ข้อมูลส่วนบุคคลเพื่อเข้าทำสัญญา รวมทั้งแจ้งถึง ผลกระทบที่เป็นไปได้จากการไม่ให้ข้อมูลส่วนบุคคล (3) ข้อมูลส่วนบุคคลที่จะมีการเก็บรวบรวมและระยะเวลาในการเก็บรวบรวมไว้ ทั้งนี้ ในกรณี ที่ไม่สามารถกำหนดระยะเวลาดังกล่าวได้ชัดเจน ให้กำหนดระยะเวลาที่อาจคาดหมายได้ตามมาตรฐาน ของการเก็บรวบรวม (4) ประเภทของบุคคลหรือหน่วยงานซึ่งข้อมูลส่วนบุคคลที่เก็บรวบรวมอาจจะถูกเปิดเผย (5) ข้อมูลเกี่ยวกับผู้ควบคุมข้อมูลส่วนบุคคล สถานที่ติดต่อ และวิธีการติดต่อในกรณี ที่มีตัวแทนหรือเจ้าหน้าที่คุ้มครองข้อมูลส่วนบุคคล ให้แจ้งข้อมูล สถานที่ติดต่อ และวิธีการติดต่อของ ตัวแทนหรือเจ้าหน้าที่คุ้มครองข้อมูลส่วนบุคคลด้วย (6) สิทธิของเจ้าของข้อมูลส่วนบุคคลตามมาตรา 19 วรรคห้า มาตรา 30 วรรคหนึ่ง

ห้ามมิให้เก็บรวบรวมข้อมูลส่วนบุคคลเกี่ยวกับเชื้อชาติ เผ่าพันธุ์ ความคิดเห็น ทางการเมือง ความเชื่อในลัทธิ ศาสนาหรือปรัชญา พฤติกรรมทางเพศ ประวัติอาชญากรรม ข้อมูลสุขภาพ ความพิการ ข้อมูลสหภาพแรงงาน ข้อมูลพันธุกรรม ข้อมูลชีวภาพ หรือข้อมูลอื่นใด ซึ่งกระทบต่อเจ้าของข้อมูลส่วนบุคคลในทำนองเดียวกันตามที่คณะกรรมการประกาศกำหนด โดยไม่ได้รับ ความยินยอมโดยชัดแจ้งจากเจ้าของข้อมูลส่วนบุคคล เว้นแต่ (1) เพื่อป้องกันหรือระงับอันตรายต่อชีวิต ร่างกาย หรือสุขภาพของบุคคลซึ่งเจ้าของข้อมูล ส่วนบุคคลไม่สามารถให้ความยินยอมได้ ไม่ว่าด้วยเหตุใดก็ตาม (2) เป็นการดำเนินกิจกรรมโดยชอบด้วยกฎหมายที่มีการคุ้มครองที่เหมาะสมของมูลนิธิ สมาคม หรือองค์กรที่ไม่แสวงหากำไรที่มีวัตถุประสงค์เกี่ยวกับการเมือง ศาสนา ปรัชญา หรือสหภาพแรงงาน ให้แก่สมาชิก ผู้ซึ่งเคยเป็นสมาชิก หรือผู้ซึ่งมีการติดต่ออย่างสม่ำเสมอกับมูลนิธิ สมาคม หรือองค์กร ที่ไม่แสวงหากำไรตามวัตถุประสงค์ดังกล่าวโดยไม่ได้เปิดเผยข้อมูลส่วนบุคคลนั้นออกไปภายนอกมูลนิธิ สมาคม หรือองค์กรที่ไม่แสวงหากำไรนั้น (3) เป็นข้อมูลที่เปิดเผยต่อสาธารณะด้วยความยินยอมโดยชัดแจ้งของเจ้าของข้อมูลส่วนบุคคล (4) เป็นการจำเป็นเพื่อการก่อตั้งสิทธิเรียกร้องตามกฎหมาย การปฏิบัติตามหรือการใช้สิทธิ เรียกร้องตามกฎหมาย หรือการยกขึ้นต่อสู้สิทธิเรียกร้องตามกฎหมาย (5) เป็นการจำเป็นในการปฏิบัติตามกฎหมายเพื่อให้บรรลุวัตถุประสงค์เกี่ยวกับ (ก) เวชศาสตร์ป้องกันหรืออาชีวเวชศาสตร์ การประเมินความสามารถในการทำงานของ ลูกจ้าง การวินิจฉัยโรคทางการแพทย์ การให้บริการด้านสุขภาพหรือด้านสังคม การรักษาทางการแพทย์ การจัดการด้านสุขภาพ หรือระบบและการให้บริการด้านสังคมสงเคราะห์ ทั้งนี้ ในกรณีที่ไม่ใช่การปฏิบัติ ตามกฎหมายและข้อมูลส่วนบุคคลนั้นอยู่ในความรับผิดชอบของผู้ประกอบอาชีพหรือวิชาชีพหรือผู้มีหน้าที่ รักษาข้อมูลส่วนบุคคลนั้นไว้เป็นความลับตามกฎหมาย ต้องเป็นการปฏิบัติตามสัญญาระหว่างเจ้าของ ข้อมูลส่วนบุคคลกับผู้ประกอบวิชาชีพทางการแพทย์ (ข) ประโยชน์สาธารณะด้านการสาธารณสุข เช่น การป้องกันด้านสุขภาพจากโรคติดต่อ อันตรายหรือโรคระบาดที่อาจติดต่อหรือแพร่เข้ามาในราชอาณาจักร หรือการควบคุมมาตรฐานหรือคุณภาพ ของยา เวชภัณฑ์ หรือเครื่องมือแพทย์ ซึ่งได้จัดให้มีมาตรการที่เหมาะสมและเจาะจงเพื่อคุ้มครองสิทธิ และเสรีภาพของเจ้าของข้อมูลส่วนบุคคลโดยเฉพาะการรักษาความลับของข้อมูลส่วนบุคคลตามหน้าที่หรือ ตามจริยธรรมแห่งวิชาชีพ (ค) การคุ้มครองแรงงาน การประกันสังคม หลักประกันสุขภาพแห่งชาติ สวัสดิการเกี่ยวกับ การรักษาพยาบาลของผู้มีสิทธิตามกฎหมาย การคุ้มครองผู้ประสบภัยจากรถ หรือการคุ้มครองทางสังคม ซึ่งการเก็บรวบรวมข้อมูลส่วนบุคคลเป็นสิ่งจำเป็นในการปฏิบัติตามสิทธิหรือหน้าที่ของผู้ควบคุมข้อมูล ส่วนบุคคลหรือเจ้าของข้อมูลส่วนบุคคล โดยได้จัดให้มีมาตรการที่เหมาะสมเพื่อคุ้มครองสิทธิขั้นพื้นฐาน และประโยชน์ของเจ้าของข้อมูลส่วนบุคคล (ง) การศึกษาวิจัยทางวิทยาศาสตร์ ประวัติศาสตร์ หรือสถิติ หรือประโยชน์สาธารณะอื่น ทั้งนี้ ต้องกระทำเพื่อให้บรรลุวัตถุประสงค์ดังกล่าวเพียงเท่าที่จำเป็นเท่านั้น และได้จัดให้มีมาตรการ ที่เหมาะสมเพื่อคุ้มครองสิทธิขั้นพื้นฐานและประโยชน์ของเจ้าของข้อมูลส่วนบุคคล ตามที่คณะกรรมการ ประกาศกำหนด (จ) ประโยชน์สาธารณะที่สำคัญ โดยได้จัดให้มีมาตรการที่เหมาะสมเพื่อคุ้มครอง สิทธิขั้นพื้นฐานและประโยชน์ของเจ้าของข้อมูลส่วนบุคคล ข้อมูลชีวภาพตามวรรคหนึ่งให้หมายถึงข้อมูลส่วนบุคคลที่เกิดจากการใช้เทคนิคหรือเทคโนโลยี ที่เกี่ยวข้องกับการนำลักษณะเด่นทางกายภาพหรือทางพฤติกรรมของบุคคลมาใช้ทำให้สามารถยืนยันตัวตน ของบุคคลนั้นที่ไม่เหมือนกับบุคคลอื่นได้ เช่น ข้อมูลภาพจำลองใบหน้า ข้อมูลจำลองม่านตา หรือ ข้อมูลจำลองลายนิ้วมือ ในกรณีที่เป็นการเก็บรวบรวมข้อมูลส่วนบุคคลเกี่ยวกับประวัติอาชญากรรมต้องกระทำภายใต้ การควบคุมของหน่วยงานที่มีอำนาจหน้าที่ตามกฎหมาย หรือได้จัดให้มีมาตรการคุ้มครองข้อมูลส่วนบุคคล ตามหลักเกณฑ์ที่คณะกรรมการประกาศกำหนด
