|---|---|
| Stamp duty | A ticketing services agreement is generally treated as a hire of work (Instrument 4 of the Stamp Duty Schedule), with duty of 1 THB for every 1,000 THB or part of 1,000 THB of the fees. Because the Commission is not known at signing, the duty is calculated on the Estimated Fees and adjusted if the actual Commission is higher. On the Estimated Fees you entered, the duty on the original is the amount the system calculates from the figures entered, and each counterpart carries the amount the system calculates from the figures entered.Because the fees are in …, convert them to Thai Baht at the exchange rate on the date of signing and calculate the duty on the Baht amount. The Ticketing Company pays the duty (Clause 6.3). Because the Ticketing Company also acts as the Organiser's agent to collect money, ask an accountant whether duty for an appointment of an agent (Instrument 21) is also due. For electronic signing, use the Revenue Department's e-Stamp Duty system within 15 days after signing. An unstamped agreement cannot be used as evidence in a Thai civil court until the duty and a surcharge are paid. |
| Tax | The Commission deducted by the Ticketing Company is still a payment by the Organiser for withholding tax purposes. Follow Clause 6.2: the Ticketing Company deducts the Commission net of the tax, and the Organiser pays the tax and issues the certificate. VAT on the Face Value is the Organiser's; VAT on the Commission and Booking Fees is the Ticketing Company's (Clause 6.1). Agree the form of receipt that buyers receive before sales open. |

Stamp duty
- A ticketing services agreement is generally treated as a hire of work (Instrument 4 of the Stamp Duty Schedule), with duty of 1 THB for every 1,000 THB or part of 1,000 THB of the fees. Because the Commission is not known at signing, the duty is calculated on the Estimated Fees and adjusted if the actual Commission is higher. - The Ticketing Company pays the duty (Clause 6.3). For electronic signing, use the Revenue Department's e-Stamp Duty system within 15 days after signing. An unstamped agreement cannot be used as evidence in a Thai civil court until the duty and a surcharge are paid.
Tax
- The Commission deducted by the Ticketing Company is still a payment by the Organiser for withholding tax purposes. Follow Clause 6.2: the Ticketing Company deducts the Commission net of the tax, and the Organiser pays the tax and issues the certificate.
- VAT on the Face Value is the Organiser's; VAT on the Commission and Booking Fees is the Ticketing Company's (Clause 6.1). Agree the form of receipt that buyers receive before sales open.
Before sales open
- Check that the Ticketing Company collects payments through a licensed payment provider or holds the licence itself (Clause 12.1).
- Approve the Event page, prices, allocations and Ticket Terms in writing (Clause 3.2). The total price, including the Booking Fee of … …, must be shown before payment (Clause 3.3).
- Make sure the checkout asks separately for consent to marketing by the Organiser and by the Ticketing Company (Clause 10).
During sales
- Expect a settlement and statement every … days (Clause 4.2). Reconcile each statement with the online sales report, and chase any late payment at once; after 5 Business Days you may terminate (Clause 11.2).- All ticket money stays with the Ticketing Company until … days after each Event (Clause 4.2). Watch the sales reports and consider asking for interim payments for a large Event.
- You may inspect the Ticketing Company's records once a year (Clause 4.6).
If an Event is cancelled or changed
- Instruct the Ticketing Company in writing within 2 Business Days (Clause 7.1). Buyers must be told within 3 Business Days and refunded within … days.
- If the Ticketing Company has already paid you the Ticket Revenue, you must fund the refunds within 5 Business Days after its request (Clause 7.2). Keep enough cash aside until the Event has taken place.
- You chose not to refund the Booking Fee. Buyers are consumers, and a complaint or court may treat that as unfair when the Event is cancelled for reasons that are not their fault.
Evidence
- Keep the signed PDF, Schedule 1, approved Event pages, every statement and payment slip, and the instructions for refunds. A Thai court works in Thai, so English documents need a certified Thai translation in a dispute.
