## Running the programme

- Register every serious prospect in the partner portal. A Registered Opportunity is protected for … days (Clause 7).
- Watch renewal notices. You have the first right to renew your Customers while this Agreement lasts, but lose it if you do not place the renewal Order by 15 days before expiry (Clause 6.2).
- Make sure every Customer accepts the Vendor's End User Terms, and never promise more than they give (Clause 5).
- Set your own resale prices (Clause 2.4). Agreements between competitors or suppliers that fix resale prices or divide customers may break Thailand's trade competition law.
- Track purchases against the Minimum Purchase of …. Missing it does not create a debt, but lets the Vendor end the appointment (Clause 11).

## Public sector and export control

- When selling to government agencies or state enterprises, follow the procurement rules strictly and never pass any benefit to officials. Thai law can hold a company liable for bribery by its representatives if it lacks proper internal controls.
- Some software cannot be exported to certain countries or users. Follow the Vendor's written restrictions (Clause 13.2).

## Personal data

- Each Party handles Customer contact details as a separate data controller (Clause 14.1). Tell Customers in your privacy notice that you share their details with the Vendor for provisioning and support.
- Customer data inside the Product is processed by the Vendor under the End User Terms. Check Schedule 1 for the countries where it is stored; transfers of personal data outside Thailand must meet the conditions in sections 28 and 29 of the Personal Data Protection Act.

## Signing and evidence

- A company should sign through the director or directors authorised in its latest company affidavit, with the company seal if required. For the Vendor, ask for evidence of the signatory's authority.
- Clause 22.7 allows electronic signatures and signed PDF copies. Keep the signed file, Schedule 1, the price lists in force, Orders, deal registrations and renewal notices.
- A Thai court or arbitral tribunal seated in Thailand may need certified Thai translations of English documents. Budget for this cost.
