## Stamp duty

- A Thai company or juristic person that pays service fees to a service provider in Thailand normally withholds 3% (Revenue Department Order Tor.Por. 4/2528, clause 12/1) and must give the withholding tax certificate (Clause 8.2).
- If the Service Provider is abroad and has no business in Thailand, different withholding rules may apply, and a double tax treaty may reduce the rate. Ask an accountant before the first payment, especially because you ticked gross-up, so the Client bears the withholding tax on top of the Fees.

## Keep it a service contract, not disguised employment

- The Service Provider must decide how the work is done and direct its own staff (Clause 9). If the Client supervises the Service Provider's staff like its own employees in its core business, the Labour Protection Act may treat the Client as their employer (section 11/1), and a principal contractor can be jointly liable for a subcontractor's unpaid wages and severance (section 12).
- If you are really hiring one individual to work under your direction, use an employment agreement instead.
- Foreign personnel of the Service Provider who work in Thailand need their own work permits, obtained by the Service Provider.

## Renewal, notices and termination

- The Agreement renews automatically every … months unless a notice of non-renewal is received at least … days before the end of the current period (Clause 3.2). Put the deadline in your calendar.- The Agreement ends automatically at the end of the Initial Term. If you want to continue, sign a written renewal before that date (Clause 3.2).
- To terminate for breach, first send a notice describing the breach and asking for it to be remedied. The cure period of … days starts on the day after the notice is received (Clause 1.2(e)). Send the termination notice only after the cure period ends without a remedy (Clause 18.2).
- If you keep accepting late performance or late payment without objection, a Thai court may treat the deadline as no longer essential. Object in writing each time, even though Clause 21.4 says a delay in enforcing is not a waiver.
- Notices by email take effect when they reach the recipient's email address (Clause 19.2). Keep the sent email with its header.

## Deliverables and work product

- Review each Deliverable within … Business Days and reject it in writing with specific reasons, or it is treated as accepted (Clause 6.3).
- The Client owns the Deliverables once it has paid for them (Clause 10.2). A transfer of copyright must be in writing and signed by both the transferor and the transferee (Copyright Act section 17), so both Parties must sign this Agreement. If a single person creates a Deliverable for the Service Provider, the Service Provider should also have a written assignment from that person.- The Service Provider keeps ownership of the Deliverables, and the Client receives a permanent licence to use them for its own business once paid (Clause 10.2). The Client may not resell them as a product.

## Personal data

- The Client is the data controller and the Service Provider is its data processor for the personal data handled in the Services (Clause 12.2). The Personal Data Protection Act requires a processor to act only on the controller's instructions, keep the data secure and report breaches (section 40). The controller must notify the Personal Data Protection Committee of a breach within 72 hours in most cases (section 37), which is why the Service Provider must report to the Client within 48 hours.

## Bank guarantee

- Ask the Service Provider's bank for an irrevocable guarantee for … in the wording the Client approves, valid until 30 days after the Agreement ends (Clause 14.1). The Client may call on it only for amounts owed and unpaid after a written demand (Clause 14.2). Return the original guarantee to the Service Provider when the Agreement ends.

## Signing and evidence

- A company should sign through the director or directors authorised in its latest company affidavit, and affix the company seal if the affidavit requires one. For a foreign company, ask for a recent certificate of incorporation or good standing and evidence of the signatory's authority; for a large contract, you may also ask for these documents to be notarised.
- Clause 21.7 allows electronic signatures and signed PDF copies. Keep the final signed file unchanged, together with Schedules 1 and 2.
- Keep invoices, tax invoices, withholding tax certificates, bank transfer slips, reports and acceptance emails for every Deliverable.

## If the case goes to a Thai court

- A Thai court works in Thai. A Party that relies on this Agreement, or on English emails and documents, must file a Thai translation certified as accurate. Budget for this cost.
- If the other Party has no assets in Thailand, a Thai judgment may be hard to enforce abroad. Payment terms that protect you, such as monthly invoicing, advance payment or a bank guarantee, often work better than a court case. An arbitral award is easier to enforce in other countries, but it also needs a certified Thai translation to be enforced through a Thai court.

ผู้สร้างสรรค์งานอันมีลิขสิทธิ์ตามพระราชบัญญัตินี้มีสิทธิที่จะแสดงว่าตน เป็นผู้สร้างสรรค์งานดังกล่าว และมีสิทธิที่จะห้ามมิให้ผู้รับโอนลิขสิทธิ์หรือบุคคลอื่นใดบิดเบือน ตัดทอน ดัดแปลงหรือทำโดยประการอื่นใดแก่งานนั้นจนเกิดความเสียหายต่อชื่อเสียง หรือเกียรติคุณของผู้สร้างสรรค์ และเมื่อผู้สร้างสรรค์ถึงแก่ความตายทายาทของผู้สร้างสรรค์มีสิทธิที่จะฟ้องร้องบังคับตามสิทธิดังกล่าวได้ตลอด อายุแห่งการคุ้มครองลิขสิทธิ์ ทั้งนี้ เว้นแต่จะได้ตกลงกันไว้เป็นอย่างอื่นเป็นลายลักษณ์อักษร - 8 - หมายเหตุ: กรมทรัพย์สินทางปัญญารวบรวมพระราชบัญญัติลิขสิทธิ์เพื่ออำนวยความสะดวกแก่เจ้าของลิขสิทธิ์ ผู้ประกอบการ และประชาชนทั่วไป หากจะนำไปใช้ในทางกฎหมาย โปรดอ้างอิงพระราชบัญญัติฉบับที่ประกาศในราชกิจจานุเบกษา

### พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 37

ผู้ควบคุมข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ และต้องทบทวน มาตรการดังกล่าวเมื่อมีความจำเป็นหรือเมื่อเทคโนโลยีเปลี่ยนแปลงไปเพื่อให้มีประสิทธิภาพในการรักษา ความมั่นคงปลอดภัยที่เหมาะสม ทั้งนี้ ให้เป็นไปตามมาตรฐานขั้นต่ำที่คณะกรรมการประกาศกำหนด (2) ในกรณีที่ต้องให้ข้อมูลส่วนบุคคลแก่บุคคลหรือนิติบุคคลอื่นที่ไม่ใช่ผู้ควบคุมข้อมูลส่วนบุคคล ต้องดำเนินการเพื่อป้องกันมิให้ผู้นั้นใช้หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ (3) จัดให้มีระบบการตรวจสอบเพื่อดำเนินการลบหรือทำลายข้อมูลส่วนบุคคลเมื่อพ้นกำหนด ระยะเวลาการเก็บรักษา หรือที่ไม่เกี่ยวข้องหรือเกินความจำเป็นตามวัตถุประสงค์ในการเก็บรวบรวม ข้อมูลส่วนบุคคลนั้น หรือตามที่เจ้าของข้อมูลส่วนบุคคลร้องขอ หรือที่เจ้าของข้อมูลส่วนบุคคล ได้ถอนความยินยอม เว้นแต่เก็บรักษาไว้เพื่อวัตถุประสงค์ในการใช้เสรีภาพในการแสดงความคิดเห็น การเก็บรักษาไว้เพื่อวัตถุประสงค์ตามมาตรา 24 (1) หรือ (4) หรือมาตรา 26 (5) (ก) หรือ (ข) การใช้เพื่อการก่อตั้งสิทธิเรียกร้องตามกฎหมาย การปฏิบัติตามหรือการใช้สิทธิเรียกร้องตามกฎหมาย หรือการยกขึ้นต่อสู้สิทธิเรียกร้องตามกฎหมาย หรือเพื่อการปฏิบัติตามกฎหมาย ทั้งนี้ ให้นำความใน

### พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 40

ผู้ประมวลผลข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) ดำเนินการเกี่ยวกับการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามคำสั่งที่ได้รับ จากผู้ควบคุมข้อมูลส่วนบุคคลเท่านั้น เว้นแต่คำสั่งนั้นขัดต่อกฎหมายหรือบทบัญญัติในการคุ้มครอง ข้อมูลส่วนบุคคลตามพระราชบัญญัตินี้ (2) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ รวมทั้ง แจ้งให้ผู้ควบคุมข้อมูลส่วนบุคคลทราบถึงเหตุการละเมิดข้อมูลส่วนบุคคลที่เกิดขึ้น (3) จัดทำและเก็บรักษาบันทึกรายการของกิจกรรมการประมวลผลข้อมูลส่วนบุคคลไว้ ตามหลักเกณฑ์และวิธีการที่คณะกรรมการประกาศกำหนด ผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งไม่ปฏิบัติตาม (1) สำหรับการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลใด ให้ถือว่าผู้ประมวลผลข้อมูลส่วนบุคคลเป็นผู้ควบคุมข้อมูลส่วนบุคคลสำหรับ การเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลนั้น การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลตามที่ได้รับมอบหมายจากผู้ควบคุม ข้อมูลส่วนบุคคลตามวรรคหนึ่ง ผู้ควบคุมข้อมูลส่วนบุคคลต้องจัดให้มีข้อตกลงระหว่างกัน เพื่อควบคุม การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลให้เป็นไปตามพระราชบัญญัตินี้ ความใน (3) อาจยกเว้นมิให้นำมาใช้บังคับกับผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งเป็นกิจการ ขนาดเล็กตามหลักเกณฑ์ที่คณะกรรมการประกาศกำหนด เว้นแต่มีการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลที่มีความเสี่ยงที่จะมีผลกระทบต่อสิทธิและเสรีภาพของเจ้าของข้อมูลส่วนบุคคล หรือ มิใช่กิจการที่เก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลเป็นครั้งคราว หรือมีการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามมาตรา 26

### ประมวลรัษฎากร มาตรา 118

ตราสารใดไม่ปิดแสตมป์บริบูรณ์ จะใช้ต้นฉบับ คู่ฉบับ คู่ฉีก หรือสำเนาตราสารนั้นเป็นพยานหลักฐานในคดีแพ่งไม่ได้ จนกว่าจะได้เสียอากรโดยปิดแสตมป์ครบจำนวนตามอัตราในบัญชีท้ายหมวดนี้ และขีดฆ่าแล้ว แต่ทั้งนี้ ไม่เป็นการเสื่อมสิทธิที่จะเรียกเงินเพิ่มอากรตามมาตรา 113 และมาตรา 114
