## Stamp duty

- **No stamp duty is payable on this Agreement.** It forms part of an employment contract, and an employment contract is not an instrument listed in the Stamp Duty Schedule of the Thai Revenue Code.

## Remote work is still employment

- The Employee remains an employee under the Employment Contract, and the Labour Protection Act B.E. 2541 (1998) continues to apply in full: working-hour limits, rest breaks, overtime pay, holidays, leave and severance are the same as for work at the Office (Clause 2.4 and Clause 10.1).
- Thai labour law now expressly recognises work performed outside the employer's premises by agreement, and gives the employee the right to refuse contact outside working hours unless the employee has consented in advance. Clause 3.3 and Clause 3.4 put this into the contract. Do not build a practice of expecting replies at night or at weekends.
- Overtime done at home is still overtime. If a manager asks for work outside normal hours, record it (Clause 3.6) and pay it.
- Clause 2.5 keeps the Office as the legal place of work. Ending the arrangement and calling the Employee back (Clause 8) is not a relocation of the establishment and is not a termination of employment.

## Allowance and costs

- The allowance of … per month (Clause 4.2) is intended to cover costs. A regular fixed monthly payment may still be treated as wages by a labour court, which would add it to the base for overtime and severance. Keep the amount realistic and tied to actual costs.
- For personal income tax, a fixed monthly allowance paid with the salary is normally employment income that the Employer must include when withholding tax. Ask your accountant whether any part can be treated as a reimbursement of actual expenses supported by receipts.- You chose no allowance, so the Employee bears ordinary household costs (Clause 4.2). Anything else the work needs, such as a headset or monitor, should be listed in Schedule 1 or approved and reimbursed under Clause 4.3.
- Equipment remains the Employer's property (Clause 4.1). Keep an equipment register with serial numbers and ask the Employee to sign for each item.

## Data protection and security

- The Employer is the data controller for customer and employee data that the Employee handles at home. The Personal Data Protection Act B.E. 2562 (2019) requires the controller to keep personal data secure and to notify the Personal Data Protection Committee of a breach within 72 hours in most cases (section 37). That is why the Employee must report incidents within … hours (Clause 5.4).
- Update your privacy notice to employees so that it covers remote-work data: the home address used as the Remote Location, time records, device logs and the monitoring described in Clause 6.1.
- Monitoring must be necessary and proportionate. Tell the Employee exactly which tools you use (Clause 6.1), limit them to company devices and systems, and keep the records only as long as needed. Covert monitoring, continuous camera or microphone recording and keystroke logging are outside what this Agreement allows.
- Clause 5.3 limits artificial intelligence tools to those the Employer has approved in writing. Keep a short list of approved tools and tell staff which settings prevent their inputs from being used to train the provider's models.

## Working from abroad

- Short periods of work abroad (Clause 2.3) can still create problems: the other country may treat the work as requiring a work permit or visa, and long stays may raise questions of tax residence for the Employee or of a taxable presence for the Employer. Approve each period in writing and keep the number of days low.
- Personal data sent to the Employee while abroad is a transfer of personal data out of Thailand. The Personal Data Protection Act allows this only where the destination has adequate protection or another legal ground applies (sections 28 and 29). Limit access to sensitive data during those periods (Clause 9.2).

## Health and safety

- An injury suffered while working at the Remote Location may be a work injury. Record the report (Clause 7.2) and consult the Social Security Office about the workmen's compensation claim.

## Signing and records

- Both Parties should sign this Agreement and keep it with the Employment Contract. Give the Employee a complete copy, including both Schedules.
- Keep the time records (Clause 3.6), approvals for work abroad, equipment receipts and any notice under Clause 8 in the Employee's personnel file.
- If the Employee does not read English well, explain this Agreement or provide a Thai translation (Clause 10.7).

## If a dispute arises

- Disputes about employment go to the Labour Court, which works in Thai. A Party relying on this Agreement or on English emails must file a certified Thai translation.
- The Employee may also complain to a labour inspector about unpaid overtime or other wages without going to court.
