## Choosing agent or carrier

- You chose that the Forwarder normally acts as your agent (Clause 2.2). The Forwarder answers for its own care and its own warehouses and trucks, but not for a shipping line or airline that it selected carefully. Claims for cargo lost at sea or in the air are made against that Carrier, with the Forwarder's help (Clause 14.2), so keep the Carrier's documents.- You chose that the Forwarder normally acts as a contracting carrier and issues its own house bill of lading or multimodal transport document (Clause 2.2). The Forwarder answers to you for the whole journey, subject to the limits in Clause 14.5. A person who issues a multimodal transport document in Thailand must be registered as a multimodal transport operator; ask for evidence of registration.
- Each Booking Confirmation must say whether the Shipment is an Agency Shipment or a Carrier Shipment (Clause 3.2). Check it every time; it decides who you can claim against.

## Insurance and limits

- The limit of … SDR per kilogram (Clause 14.5) is usually far below the value of manufactured goods. Insure the Goods unless your buyer or seller does so under the Incoterm of the sale, or declare a higher value and pay the Forwarder's valuation charge.
- For sea shipments, you may have to pay a share of general average even if your Goods were not damaged (Clause 5.3). Cargo insurance normally covers this and provides the guarantee that the shipping line asks for.

## Claims and time limits

- Note visible damage on the delivery document on the spot, and give written notice of hidden damage within … days (Clause 15.1). Arrange a survey before the Goods are used or moved.
- Claims against carriers can become time-barred quickly; for carriage of goods by sea, the time limit may be as short as one year from delivery. Thai law does not allow the parties to shorten or extend a limitation period by contract, so start proceedings, or obtain a written extension from the Carrier where the law allows it, before the period ends. Do not wait for negotiations to finish.

## Fraud and release of goods

- Payment fraud by fake emails is common in shipping. Clauses 3.4 and 11.7 require telephone confirmation of any change of consignee, release instruction or bank account. Follow them strictly.
- As an exporter, do not allow a telex release or delivery without original bills of lading until you have been paid (Clause 6.3).

## Customs

- The Customer remains responsible to Thai customs for the classification, value and origin that it declares, even though the Forwarder lodges the declaration (Clause 9.2). The Forwarder pays fines caused by its own errors, but never the duty that was correctly payable (Clause 9.3).
- Keep import and export records for the period that Thai customs law requires, because customs may audit after release.

## Signing and evidence

- A company should sign through the director or directors authorised in its latest company affidavit, with the company seal if the affidavit requires one. For a foreign party, ask for a recent certificate of incorporation and evidence of the signatory's authority.
- Keep the signed Agreement, every Shipping Instruction, Booking Confirmation, transport document, tracking record, invoice and payment slip.
- A Thai court works in Thai. A Party that relies on this Agreement or on English documents in a Thai court must file certified Thai translations. If the other Party has no assets in Thailand, a Thai judgment may be hard to enforce abroad; an arbitral award is easier to enforce in other countries.

ให้ยกเว้นภาษีมูลค่าเพิ่มสำหรับการประกอบกิจการประเภทต่าง ๆ ดังต่อไปนี้ (1) การขายสินค้าที่มิใช่การส่งออก หรือการให้บริการดังต่อไปนี้ (ก) การขายพืชผลทางการเกษตร ไม่ว่าจะเป็นลำต้น กิ่ง ใบ เปลือก หน่อ รากเหง้า ดอก หัว ฝัก เมล็ด หรือส่วนอื่น ๆ ของพืช และวัตถุพลอยได้จากพืช ทั้งนี้ ที่อยู่ในสภาพสดหรือรักษาสภาพไว้เพื่อมิให้เสียเป็นการชั่วคราวในระหว่างขนส่งด้วยการแช่เย็น แช่เย็นจนแข็ง หรือด้วยการจัดทำหรือปรุงแต่งโดยวิธีการอื่น หรือรักษาสภาพไว้เพื่อมิให้เสียเพื่อการขายปลีกหรือขายส่งด้วยวิธีการแช่เย็น แช่เย็นจนแข็ง ทำให้แห้ง บด ทำให้เป็นชิ้น หรือด้วยวิธีอื่น ข้าวสารหรือผลิตภัณฑ์ที่ได้จากการสีข้าว แต่ไม่รวมถึงไม้ซุง ฟืน หรือผลิตภัณฑ์ที่ได้จากการเลื่อยไม้ หรือผลิตภัณฑ์อาหารที่บรรจุกระป๋อง ภาชนะ หรือหีบห่อที่ทำเป็นอุตสาหกรรมตามลักษณะและเงื่อนไขที่อธิบดีกำหนด (ข) การขายสัตว์ไม่ว่าจะมีชีวิตหรือไม่มีชีวิต และในกรณีสัตว์ไม่มีชีวิตไม่ว่าจะเป็นเนื้อ ส่วนต่าง ๆ ของสัตว์ ไข่ น้ำนม และวัตถุพลอยได้จากสัตว์ ทั้งนี้ ที่อยู่ในสภาพสดหรือรักษาสภาพไว้เพื่อมิให้เสียเป็นการชั่วคราวในระหว่างขนส่งด้วยการแช่เย็น แช่เย็นจนแข็ง หรือด้วยการจัดทำหรือปรุงแต่งโดยวิธีการอื่น หรือรักษาสภาพไว้เพื่อมิให้เสียเพื่อการขายปลีกหรือขายส่งด้วยวิธีการแช่เย็น แช่เย็นจนแข็ง ทำให้แห้ง บด ทำให้เป็นชิ้น หรือด้วยวิธีอื่น แต่ไม่รวมถึงผลิตภัณฑ์อาหารที่บรรจุกระป๋อง ภาชนะ หรือหีบห่อที่ทำเป็นอุตสาหกรรมตามลักษณะและเงื่อนไขที่อธิบดีกำหนด (ค) การขายปุ๋ย (ง) การขายปลาป่น อาหารสัตว์ (จ) การขายยาหรือเคมีภัณฑ์ที่ใช้สำหรับพืชหรือสัตว์เพื่อบำรุงรักษาป้องกันทำลายหรือกำจัดศัตรูหรือโรคของพืชและสัตว์ (ฉ) การขายหนังสือพิมพ์ นิตยสาร หรือตำราเรียน (ช) การให้บริการการศึกษาของสถานศึกษาของทางราชการ สถานศึกษาตามกฎหมายว่าด้วยสถาบันอุดมศึกษาเอกชน หรือโรงเรียนเอกชนตามกฎหมายว่าด้วยโรงเรียนเอกชน (ซ) การให้บริการที่เป็นงานทางศิลปะและวัฒนธรรมในสาขา และลักษณะการประกอบกิจการที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี (ฌ) การให้บริการการประกอบโรคศิลปะ การสอบบัญชี การว่าความ หรือการประกอบวิชาชีพอิสระอื่นตามที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี ทั้งนี้ เฉพาะวิชาชีพอิสระที่มีกฎหมายควบคุมการประกอบวิชาชีพอิสระนั้น (ญ) การให้บริการรักษาพยาบาลของสถานพยาบาลตามกฎหมายว่าด้วยสถานพยาบาล (ฎ) การให้บริการวิจัย หรือการให้บริการทางวิชาการ ทั้งนี้ ในสาขาและลักษณะการประกอบกิจการที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี (ฏ) การให้บริการห้องสมุด พิพิธภัณฑ์ สวนสัตว์ (ฐ) การให้บริการตามสัญญาจ้างแรงงาน (ฑ) การให้บริการจัดแข่งขันกีฬาสมัครเล่น (ฒ) การให้บริการของนักแสดงสาธารณะ ทั้งนี้ เฉพาะบริการในสาขาและลักษณะการประกอบกิจการตามที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี (ณ) การให้บริการขนส่งในราชอาณาจักร (ด) การให้บริการขนส่งระหว่างประเทศซึ่งมิใช่เป็นการขนส่งโดยอากาศยานหรือเรือเดินทะเล (ต) การให้บริการเช่าอสังหาริมทรัพย์ (ถ) การให้บริการของราชการส่วนท้องถิ่น ทั้งนี้ ไม่รวมถึงบริการที่เป็นการพาณิชย์ของราชการส่วนท้องถิ่น หรือเป็นการหารายได้หรือผลประโยชน์ไม่ว่าจะเป็นกิจการสาธารณูปโภคหรือไม่ก็ตาม (ท) การขายสินค้าหรือการให้บริการของกระทรวง ทบวง กรม ซึ่งส่งรายรับทั้งสิ้นให้แก่รัฐโดยไม่หักรายจ่าย (ธ) การขายสินค้าหรือการให้บริการเพื่อประโยชน์แก่การศาสนาหรือการสาธารณกุศลภายในประเทศซึ่งไม่นำผลกำไรไปจ่ายในทางอื่น (น) การขายสินค้าหรือการให้บริการตามที่กำหนดโดยพระราชกฤษฎีกา (2) การนำเข้าสินค้าดังต่อไปนี้ (ก) สินค้าตาม (1) (ก) ถึง (ฉ) (ข)2 สินค้าจากต่างประเทศที่นำเข้าไปในเขตปลอดอากร ทั้งนี้ เฉพาะสินค้าที่ได้รับยกเว้นอากรขาเข้าตามกฎหมายว่าด้วยการนั้น (ค) สินค้าที่จำแนกประเภทไว้ในภาคว่าด้วยของที่ได้รับยกเว้นอากรตามกฎหมายว่าด้วยพิกัดอัตราศุลกากร (ง) สินค้าซึ่งนำเข้าและอยู่ในอารักขาของศุลกากร แล้วได้ส่งกลับออกไปต่างประเทศ โดยได้คืนอากรขาเข้าตามกฎหมายว่าด้วยศุลกากร (3) การส่งออกซึ่งสินค้าหรือบริการของผู้ประกอบการจดทะเบียนซึ่งต้องเสียภาษีมูลค่าเพิ่มตามมาตรา 82/16 การยกเว้นภาษีมูลค่าเพิ่มสำหรับการประกอบกิจการตามมาตรานี้ อธิบดีจะเสนอให้คณะกรรมการวินิจฉัยภาษีอากรพิจารณากำหนดลักษณะของกิจการและเงื่อนไขในการประกอบกิจการที่ได้รับการยกเว้นตามมาตรานี้ก็ได้ และเมื่อคณะกรรมการวินิจฉัยภาษีอากรได้วินิจฉัยแล้วให้ประกาศคำวินิจฉัยของคณะกรรมการดังกล่าวในราชกิจจานุเบกษา และหากกิจการนั้นมิได้เป็นไปตามลักษณะและเงื่อนไขที่กำหนด กิจการนั้นจะไม่ได้รับยกเว้นภาษีมูลค่าเพิ่มตามมาตรานี้
