## Before the Exchange Date

- Check that each item in Schedules 1 and 2 is really owned by the party giving it. For a vehicle, look at the registration book: the owner shown must be that party, and a vehicle still under hire purchase belongs to the finance company until it is paid off. For machinery, ask whether it is pledged, leased or subject to a court seizure.
- Agree the exact time of the exchange at least 2 Business Days in advance (Clause 4.1). Bring the keys, manuals, registration books, transfer forms and copies of ID or the company affidavit on the day (Clause 4.4).
- Print two blank copies of Schedule 3 (Handover Record), one for each side's property.

## On the Exchange Date

- Hand everything over at the same meeting. Thai law lets a party refuse to perform until the other side performs at the same time (Civil and Commercial Code s.369), and Clause 4.2 says so expressly: do not hand over your property until the other side is ready to hand over theirs and the balancing payment has reached the receiving account.
- Inspect every item together. Take date-stamped photos or video of each item, its serial or registration number and any meter reading, and sign a Handover Record for each side (Clause 4.5). If an item is wrong or damaged, write "refused" and the reason on the Handover Record (Clause 4.6).
- For a registered vehicle, complete the transfer at the Department of Land Transport within 15 days (Clause 4.4). Until the registration is transferred, traffic fines and tax notices go to the old owner, so do not leave it.
- The balancing payment is due within … days after the Exchange Date. Until it is paid in full, the receiving party still owns the item that the payer took, and the payer may not sell or pledge it (Clause 3.4). If you are the receiving party, keep the vehicle registration or title documents for that item until you are paid, where you can.

## VAT and tax invoices

- Under the Revenue Code an exchange of goods counts as a "sale" for VAT, because "sale" includes any transfer of goods with or without payment (section 77/1(8)). Each party that is registered for VAT must issue a tax invoice for the Agreed Value of the property it hands over.
- You chose Agreed Values that exclude VAT. Each VAT-registered party is paid its VAT in cash on the Exchange Date (Clause 3.6). If both parties are VAT-registered, the two VAT amounts may be set off against each other, but each tax invoice must still show the full VAT.
- You chose Agreed Values that include VAT. The VAT-registered party's tax invoice shows the VAT inside the Agreed Value, and no extra money changes hands for VAT (Clause 3.6).

## Exchanges this form does not cover

- Land, buildings and condominium units can be exchanged only in writing registered at the Land Office, on the Land Office's own Thai forms. If one side of your swap is real estate, this form is not enough on its own.
- A married person who exchanges an asset that can be mortgaged (for example land or a building) needs the consent of their spouse if it is marital property (Civil and Commercial Code s.1476(1)).

## If something goes wrong

- If the other side breaches, send a notice describing the breach and wait for the cure period to end before you terminate (Clause 12.1). The cure period starts on the day after the notice is received.
- If the Agreement is terminated after the exchange, both sides return what they received at the same time, and any money is refunded with interest from the date it was received. A party that cannot return an item pays its Agreed Value instead (Clause 12.4, reflecting Civil and Commercial Code s.391).
- If you accept property that was delivered late but still want liquidated damages under Clause 4.7, say so in writing at the time you accept it, for example on the Handover Record: "Accepted, reserving our right to liquidated damages under Clause 4.7". Thai courts may also reduce liquidated damages they consider excessive (Civil and Commercial Code s.383).
- A party that relies on this English Agreement, the Handover Records or English emails in a Thai court must file certified Thai translations. Budget for this cost. An arbitral award enforced through a Thai court also needs a certified Thai translation.

## Evidence to keep

- The signed Agreement, both signed Handover Records, and the photos and video from the handover (store the original files, which carry the date and time).
- Tax invoices, receipts and bank transfer slips for the balancing payment and any VAT.
- Vehicle transfer papers from the Department of Land Transport, and copies of the ID or company affidavit that each side provided.
- Emails used as notices, with their headers showing the time sent, and any bounce messages.

ในหมวดนี้ เว้นแต่ข้อความจะแสดงให้เห็นเป็นอย่างอื่น (1) “บุคคล” หมายความว่า บุคคลธรรมดา คณะบุคคลที่มิใช่นิติบุคคล หรือนิติบุคคล (2) “บุคคลธรรมดา” หมายความรวมถึง กองมรดก (3) “คณะบุคคลที่มิใช่นิติบุคคล” หมายความว่า ห้างหุ้นส่วนสามัญ กองทุน หรือมูลนิธิที่มิใช่นิติบุคคล และให้หมายความรวมถึงหน่วยงาน หรือกิจการของเอกชนที่กระทำโดยบุคคลธรรมดาตั้งแต่สองคนขึ้นไปอันมิใช่นิติบุคคล (4) “นิติบุคคล” หมายความว่า บริษัทหรือห้างหุ้นส่วนนิติบุคคลตามมาตรา 39 องค์การของรัฐบาลตามมาตรา 2 สหกรณ์ และองค์กรอื่นที่กฎหมายกำหนดให้เป็นนิติบุคคล (5) “ผู้ประกอบการ” หมายความว่า บุคคลซึ่งขายสินค้าหรือให้บริการในทางธุรกิจหรือวิชาชีพไม่ว่าการกระทำดังกล่าวจะได้รับประโยชน์หรือได้รับค่าตอบแทนหรือไม่ และไม่ว่าจะได้จดทะเบียนภาษีมูลค่าเพิ่มแล้วหรือไม่ (6) “ผู้ประกอบการจดทะเบียน” หมายความว่า ผู้ประกอบการที่ได้จดทะเบียนภาษีมูลค่าเพิ่ม ตามมาตรา 85 หรือมาตรา 85/1 หรือที่ได้จดทะเบียนภาษีมูลค่าเพิ่มชั่วคราวตามมาตรา 85/3 (7) “ตัวแทน” หมายความรวมถึงบุคคลซึ่งทำสัญญาหรือมีหน้าที่รับผิดชอบในการเก็บรักษาสินค้า หาลูกค้า หรือทำการใด ๆ อันเกี่ยวกับการประกอบกิจการในราชอาณาจักรแทนผู้ประกอบการที่อยู่นอกราชอาณาจักร (8) “ขาย” หมายความว่า จำหน่าย จ่าย โอนสินค้าไม่ว่าจะมีประโยชน์หรือค่าตอบแทนหรือไม่ และให้หมายความรวมถึง (ก) สัญญาให้เช่าซื้อสินค้า สัญญาซื้อขายผ่อนชำระที่กรรมสิทธิ์ในสินค้ายังไม่โอนไปยังผู้ซื้อเมื่อได้ส่งมอบสินค้าให้ผู้ซื้อแล้ว หรือสัญญาจะขายสินค้าที่เป็นไปตามหลักเกณฑ์ และเงื่อนไขที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี (ข) ส่งมอบสินค้าให้ตัวแทนเพื่อขาย (ค) ส่งสินค้าออกนอกราชอาณาจักร (ง) นำสินค้าไปใช้ไม่ว่าประการใด ๆ เว้นแต่การนำสินค้าไปใช้เพื่อการประกอบกิจการของตนเองโดยตรงตามหลักเกณฑ์ วิธีการ และเงื่อนไขที่อธิบดีกำหนด (จ) มีสินค้าขาดจากรายงานสินค้าและวัตถุดิบตามมาตรา 87 (3) หรือมาตรา 87 วรรคสอง (ฉ) มีสินค้าคงเหลือและหรือทรัพย์สินที่ผู้ประกอบการมีไว้ในการประกอบกิจการ ณ วันเลิกประกอบกิจการ แต่ไม่รวมถึงสินค้าคงเหลือและหรือทรัพย์สินดังกล่าวของผู้ประกอบการซึ่งได้ควบเข้ากันหรือได้โอนกิจการทั้งหมดให้แก่กัน ทั้งนี้ ผู้ประกอบการใหม่อันได้ควบเข้ากันหรือผู้รับโอนกิจการต้องอยู่ในบังคับที่ต้องเสียภาษีมูลค่าเพิ่มตามมาตรา 82/3 (ช) กรณีอื่นตามที่กำหนดในกฎกระทรวง (9) “สินค้า” หมายความว่า ทรัพย์สินที่มีรูปร่างและไม่มีรูปร่างที่อาจมีราคาและถือเอาได้ ไม่ว่าจะมีไว้เพื่อขาย เพื่อใช้ หรือเพื่อการใด ๆ และให้หมายความรวมถึงสิ่งของทุกชนิดที่นำเข้า แต่ทั้งนี้ไม่รวมถึงทรัพย์สินที่ไม่มีรูปร่างที่ส่งมอบโดยผ่านทางเครือข่ายอินเทอร์เน็ตหรือเครือข่ายทางอิเล็กทรอนิกส์อื่นใด (10) “บริการ” หมายความว่า การกระทำใด ๆ อันอาจหาประโยชน์อันมีมูลค่าซึ่งมิใช่เป็นการขายสินค้า และให้หมายความรวมถึงการใช้บริการของตนเองไม่ว่าประการใด ๆ แต่ทั้งนี้ไม่รวมถึง (ก) การใช้บริการหรือการนำสินค้าไปใช้เพื่อประกอบกิจการของตนเองโดยตรงตามหลักเกณฑ์ วิธีการ และเงื่อนไขที่อธิบดีกำหนด (ข) การนำเงินไปหาประโยชน์โดยการฝากธนาคารหรือซื้อพันธบัตรหรือหลักทรัพย์ (ค) การกระทำตามที่อธิบดีกำหนดโดยอนุมัติรัฐมนตรี (10/1) “บริการทางอิเล็กทรอนิกส์” หมายความว่า บริการซึ่งรวมถึงทรัพย์สินที่ไม่มีรูปร่างที่ส่งมอบโดยผ่านทางเครือข่ายอินเทอร์เน็ตหรือเครือข่ายทางอิเล็กทรอนิกส์อื่นใด ซึ่งลักษณะของบริการเป็นไปโดยอัตโนมัติในสาระสำคัญ โดยบริการดังกล่าวไม่สามารถกระทำได้หากปราศจากเทคโนโลยีสารสนเทศ (10/2) “อิเล็กทรอนิกส์แพลตฟอร์ม” หมายความว่า ตลาด ช่องทาง หรือกระบวนการอื่นใดที่ผู้ให้บริการหลายรายใช้ในการให้บริการทางอิเล็กทรอนิกส์แก่ผู้รับบริการ

ตราสารใดไม่ปิดแสตมป์บริบูรณ์ จะใช้ต้นฉบับ คู่ฉบับ คู่ฉีก หรือสำเนาตราสารนั้นเป็นพยานหลักฐานในคดีแพ่งไม่ได้ จนกว่าจะได้เสียอากรโดยปิดแสตมป์ครบจำนวนตามอัตราในบัญชีท้ายหมวดนี้ และขีดฆ่าแล้ว แต่ทั้งนี้ ไม่เป็นการเสื่อมสิทธิที่จะเรียกเงินเพิ่มอากรตามมาตรา 113 และมาตรา 114

คู่สมรสต้องจัดการสินสมรสร่วมกันหรือได้รับความยินยอมจากอีกฝ่ายหนึ่งในกรณี ดังต่อไปนี้ (1) ขาย แลกเปลี่ยน ขายฝาก ให้เช่าซื้อ จำนอง ปลดจำนอง หรือโอนสิทธิจำนอง ซึ่งอสังหาริมทรัพย์หรือสังหาริมทรัพย์ที่อาจจำนองได้ (2) ก่อตั้งหรือกระทำให้สุดสิ้นลงทั้งหมดหรือบางส่วนซึ่งภาระจำยอม สิทธิอาศัย สิทธิเหนือพื้นดิน สิทธิเก็บกิน หรือภาระติดพันในอสังหาริมทรัพย์ (3) ให้เช่าอสังหาริมทรัพย์เกินสามปี (4) ให้กู้ยืมเงิน (5) ให้โดยเสน่หา เว้นแต่การให้ที่พอควรแก่ฐานานุรูปของครอบครัวเพื่อการกุศล เพื่อการสังคม หรือตามหน้าที่ธรรมจรรยา (6) ประนีประนอมยอมความ (7) มอบข้อพิพาทให้อนุญาโตตุลาการวินิจฉัย (8) นำทรัพย์สินไปเป็นประกันหรือหลักประกันต่อเจ้าพนักงานหรือศาล
