## Before the first parts are shipped

- Fill in Schedule 2 with the Standard Cost of every part, and mark the high-value parts. The Standard Cost is what the Assembler pays for parts it loses beyond the Scrap Allowance (Clause 6.4), and is also the easiest evidence of your loss.
- Photograph the storage area and the locked cage for high-value parts before production starts, and check that the facility address in Clause 2.2 is where your parts will actually be kept.
- Send parts with a delivery note that lists part numbers, quantities and serial numbers. Keep the Assembler's signed receipt for every delivery (Clause 4.2); without it you cannot prove how many parts you handed over.
- Approve the first article in writing before volume assembly (Clause 9.1). Keep the approved sample.

## Counting and reconciling the parts

- Read the monthly stock report the week it arrives. A small difference found early can still be traced; a large one found at the end of the year usually cannot.
- Attend the quarterly joint count and sign the Reconciliation with the Assembler (Clause 6.2). Invoice or deduct the Standard Cost of any shortfall above …% within 30 days (Clause 6.4), so that the claim is not mixed with later disputes.
- Ask for defective parts to be kept for your inspection and returned to you. You may be able to claim them back from your parts supplier under its own warranty.

## Who bears the loss of parts

- Under Thai law, when the customer supplies the materials and the work is destroyed or damaged before delivery without fault of the contractor, the loss falls on the customer. This Agreement makes the Assembler responsible for parts lost while in its custody, but a genuine force majeure event, such as a flood, remains your risk.
- The Assembler must insure your parts and Products for at least … (Clause 22.1). Ask for the certificate each year and check that it names you as owner or loss payee and covers the full value of stock at peak production.- You chose not to require insurance from the Assembler. Consider insuring your parts at the facility in your own name, especially against flood and fire.
- Your parts remain yours. If a creditor of the Assembler seizes them, or the Assembler becomes insolvent, show the receipts, the stock reports and this Agreement to the enforcement officer or administrator and apply for their release. Keep those documents where you can reach them quickly.

## Stamp duty

## Quality and liability

- A company that assembles products counts as a manufacturer under the Unsafe Products Liability Act B.E. 2551 (2008), and the brand owner is jointly liable to an injured consumer. Clause 20 only decides how the Parties share that cost.
- Keep the Assembler's written warnings about unsuitable parts or instructions (Clause 8.3). If the Assembler warned you and you told it to proceed, it is not responsible for the resulting defect.
- When you accept a late lot, reserve your right to liquidated damages in writing within the time in Clause 12.5. If you accept without reservation, a Thai court may hold that you gave up the right.
- Keep serial lists and certificates of conformity for every lot for at least as long as the Products are in use; they are needed for any recall (Clause 16).

## Taking the parts back

- You may call back all parts, work in progress and Products at any time, for example to move production (Clause 25.1). The Assembler may hold them back only for overdue, undisputed Assembly Fees for those Products (Clause 5.5). Pay undisputed invoices on time so that it has no reason to do so.
- Insist on a final count and a signed Reconciliation before the trucks leave, and on certificates, photographs or video for any branded rejects that are destroyed (Clause 25.3).

## Signing and disputes

- A company should sign through the director or directors authorised in its latest company affidavit or, for a foreign company, the equivalent document from its home country, and affix the company seal if its rules require one. Clause 28.8 allows electronic signatures and signed PDF copies.
- A Thai court works in Thai, so a certified Thai translation of this Agreement and of English evidence is needed in a Thai case. If the Assembler is abroad and has no assets in Thailand, an arbitral award is usually easier to enforce in its country than a Thai judgment. ข้อตกลง ประกาศ หรือคำแจ้งความที่ได้ทำไว้ล่วงหน้า เพื่อยกเว้นหรือจำกัดความรับผิดเพื่อละเมิดหรือผิดสัญญาในความเสียหายต่อชีวิต ร่างกาย หรืออนามัยของผู้อื่น อันเกิดจากการกระทำโดยจงใจหรือประมาทเลินเล่อของผู้ตกลง ผู้ประกาศ ผู้แจ้งความ หรือของบุคคลอื่นซึ่งผู้ตกลง ผู้ประกาศ หรือผู้แจ้งความต้องรับผิดด้วย จะนำมาอ้างเป็นข้อยกเว้นหรือจำกัดความรับผิดไม่ได้

### ประมวลรัษฎากร มาตรา 118

ตราสารใดไม่ปิดแสตมป์บริบูรณ์ จะใช้ต้นฉบับ คู่ฉบับ คู่ฉีก หรือสำเนาตราสารนั้นเป็นพยานหลักฐานในคดีแพ่งไม่ได้ จนกว่าจะได้เสียอากรโดยปิดแสตมป์ครบจำนวนตามอัตราในบัญชีท้ายหมวดนี้ และขีดฆ่าแล้ว แต่ทั้งนี้ ไม่เป็นการเสื่อมสิทธิที่จะเรียกเงินเพิ่มอากรตามมาตรา 113 และมาตรา 114
