## How the retainer works

- The Client pays … each Month for … Reserved Hours and the Consultant's availability (Clause 2.2). Unused hours roll over for up to … Months and then expire (Clause 4.3).Unused hours expire at the end of each Month (Clause 4.3). If usage is uneven, consider the roll-over option instead.
- Read the monthly usage report (Clause 4.2). Hours beyond the Reserved Hours are charged at … per hour only if the Client approved them in advance (Clause 6.2).
- Keep Part B of Schedule 1 honest. A list of what is not included — for example litigation, audits, implementation projects or regulatory filings — prevents most disputes about retainers.

## Licensed advice

- A consultant who is not licensed must not give services that Thai law reserves for licensed persons, such as legal services in court, auditing of financial statements, or regulated investment advice. Clause 7.3 excludes them unless Schedule 1 includes them and the Consultant holds the licence. If you need such advice, engage the licensed adviser directly.

## Conflicts and hidden commissions

- The Consultant must disclose any commission or referral fee from suppliers or investors it recommends, and may accept it only with the Client's written consent (Clause 10.3). Undisclosed commissions are a common cause of loss of trust in advisory relationships.

## Keep it a consultancy, not employment

- The Consultant decides how it works and is not subject to the Client's office hours or staff rules (Clause 10.1). A retainer with an individual that looks like a full-time job — fixed office hours, a desk, a manager, exclusivity — may be treated as employment under Thai law.
- A foreign consultant who works while physically in Thailand usually needs a work permit.

## Work product, AI and confidentiality

- The Client owns copyright in reports written for it once the Month's fees are paid (Clause 11.2). A copyright transfer must be in writing and signed, so both Parties must sign this Agreement.- The Consultant owns its reports and the Client receives a permanent licence for internal use (Clause 11.2). Do not pass the advice to lenders, investors or buyers as something they can rely on without the Consultant's consent (Clause 11.3).
- The Consultant may use AI Tools only within Clause 12 and remains fully responsible for its advice. Never allow confidential deal information to be entered into a tool that trains on user input.

## Personal data

- If the Consultant analyses the Client's employee or customer data, it is the Client's data processor (Clause 14.2), and the Personal Data Protection Act requires the terms in that Clause (section 40). The Client must usually notify the regulator of a breach within 72 hours (section 37).

## Signing and disputes

- Each Party signs through its authorised signatory. Clause 19.7 allows electronic signatures and signed PDF copies.
- Keep the signed Agreement, usage reports, approvals of Additional Services, invoices, withholding certificates and payment slips.

ผู้ประมวลผลข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) ดำเนินการเกี่ยวกับการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามคำสั่งที่ได้รับ จากผู้ควบคุมข้อมูลส่วนบุคคลเท่านั้น เว้นแต่คำสั่งนั้นขัดต่อกฎหมายหรือบทบัญญัติในการคุ้มครอง ข้อมูลส่วนบุคคลตามพระราชบัญญัตินี้ (2) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ รวมทั้ง แจ้งให้ผู้ควบคุมข้อมูลส่วนบุคคลทราบถึงเหตุการละเมิดข้อมูลส่วนบุคคลที่เกิดขึ้น (3) จัดทำและเก็บรักษาบันทึกรายการของกิจกรรมการประมวลผลข้อมูลส่วนบุคคลไว้ ตามหลักเกณฑ์และวิธีการที่คณะกรรมการประกาศกำหนด ผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งไม่ปฏิบัติตาม (1) สำหรับการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลใด ให้ถือว่าผู้ประมวลผลข้อมูลส่วนบุคคลเป็นผู้ควบคุมข้อมูลส่วนบุคคลสำหรับ การเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลนั้น การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลตามที่ได้รับมอบหมายจากผู้ควบคุม ข้อมูลส่วนบุคคลตามวรรคหนึ่ง ผู้ควบคุมข้อมูลส่วนบุคคลต้องจัดให้มีข้อตกลงระหว่างกัน เพื่อควบคุม การดำเนินงานตามหน้าที่ของผู้ประมวลผลข้อมูลส่วนบุคคลให้เป็นไปตามพระราชบัญญัตินี้ ความใน (3) อาจยกเว้นมิให้นำมาใช้บังคับกับผู้ประมวลผลข้อมูลส่วนบุคคลซึ่งเป็นกิจการ ขนาดเล็กตามหลักเกณฑ์ที่คณะกรรมการประกาศกำหนด เว้นแต่มีการเก็บรวบรวม ใช้ หรือเปิดเผย ข้อมูลส่วนบุคคลที่มีความเสี่ยงที่จะมีผลกระทบต่อสิทธิและเสรีภาพของเจ้าของข้อมูลส่วนบุคคล หรือ มิใช่กิจการที่เก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลเป็นครั้งคราว หรือมีการเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคลตามมาตรา 26

### ประมวลรัษฎากร มาตรา 118

ตราสารใดไม่ปิดแสตมป์บริบูรณ์ จะใช้ต้นฉบับ คู่ฉบับ คู่ฉีก หรือสำเนาตราสารนั้นเป็นพยานหลักฐานในคดีแพ่งไม่ได้ จนกว่าจะได้เสียอากรโดยปิดแสตมป์ครบจำนวนตามอัตราในบัญชีท้ายหมวดนี้ และขีดฆ่าแล้ว แต่ทั้งนี้ ไม่เป็นการเสื่อมสิทธิที่จะเรียกเงินเพิ่มอากรตามมาตรา 113 และมาตรา 114
