## The Lessor's consent comes first

- A lessee cannot transfer its lease without the lessor's consent (Civil and Commercial Code section 544). The transfer takes effect only when the Lessor signs the Lessor's Consent (Clause 2.1). Do not pay more than the earnest money, and do not start fitting out, before the Lessor has signed.
- A lease is personal to the lessee. Without the Lessor's consent, the Assignee has no right against the Lessor at all, and the Lessor may terminate the Lease and take back the Premises.
- If the Lessor wants a new lease with the Assignee instead of consenting to a transfer, the Parties should adjust this Agreement: the Assignor surrenders its Lease and the Assignee signs a new lease directly with the Lessor.

## Check the Lease before paying

- Read the original Lease and every amendment: the end date, the rent, the permitted use, the rules on alterations and signs, and whether the Lease can be renewed. The Premium should reflect how long the Assignee can really stay.
- The Lease is not registered. If it was made for more than 3 years, it can be enforced for only 3 years, counted from the start of the Lease, and a buyer of the building may not be bound beyond that (section 538). Price the Premium on the period that is safe.- The Lease is registered, so the transfer must also be registered at … (Clause 11.1). Book the Land Office appointment early; the Lessor must attend or give a power of attorney. The Land Office charges fees on the transfer; ask for the amount when booking.
- Ask the Lessor to confirm the rent, the deposit and any outstanding notices in the Lessor's Consent. The Assignor warrants the same points (Clause 8.1).

## Money

- The earnest money is forfeited if the Assignee is in breach and refunded in all other cases (Clause 4.4). A court may reduce an earnest that is excessive.
- The Lessor keeps the Lease Deposit for the Assignee, and the Assignee pays the Assignor the same amount on the Transfer Date (Clause 5.1). Ask the Lessor to confirm the amount in writing.- The Lessor returns the old deposit to the Assignor and takes a new deposit from the Assignee (Clause 5).
- The Premium is income of the Assignor and is taxed under the Assignor's own tax rules. Whether a company Assignee must withhold tax on it, and whether VAT applies, depends on how the Premium is split between the leasehold right and the Handover Items; ask an accountant before the first payment.

## Stamp duty

- A transfer of a lease is not listed as a lease in the Stamp Duty Schedule, so this Agreement is not stamped as a lease. The original Lease remains stamped as it was. If the Lessor and the Assignee sign a new lease instead, that new lease carries stamp duty of 1 THB per 1,000 THB of the total rent.

## After the Transfer Date

- Business licences, permits and company or VAT registrations at the Premises do not transfer. The Assignee applies for its own, and the Assignor moves its registrations away within 30 days (Clause 7.3).
- The Assignor may not open the same kind of business within … km for … months (Clause 12). A court may reduce a restriction that is wider than needed to protect the Premium.
- Keep the signed Agreement, the Lessor's Consent, the transfer record, receipts for the Premium and the last rent and utility receipts from the Assignor.
- A Thai court works in Thai. A Party that relies on this Agreement in court must file a certified Thai translation.
