## Copyright – do these three things

- Copyright passes to the Client only when the Fee is paid in full (Clause 9.1). Keep the transfer slip for the balance with the signed Agreement: together they prove the Client's ownership, for example when filing a trade mark or dealing with a printer or platform.- The Designer keeps copyright and the Client holds an exclusive, permanent licence (Clause 9.1). Thai law would otherwise give copyright in a commissioned work to the Client, so the signed Agreement is the Designer's proof of ownership. Keep it safely.
- A transfer or licence of copyright must be in writing and signed by **both** Parties. Make sure both sign, including every page initial on the Schedules.
- If a studio company is the Designer, the studio should hold written assignments from the individual designers who worked on the project, otherwise it cannot pass full rights to the Client.

## Trade marks and fonts

- Before approving the final logo, run a trade mark search in each country where the brand will be used. If the search shows a conflict, the Designer adapts the design once for free (Clause 12.2). File the trade mark application in the Client's name as soon as the logo is approved.
- Buy the font licences listed by the Designer in the Client's own name (Clause 11.2). A desktop licence may not cover web, app or video use; check each licence.

## Approvals, revisions and source files

- Send comments as one consolidated email per round (Clause 3.4). Comments spread over many messages can be counted as several rounds.
- Review each final design within … Business Days and reject it in writing with reasons, or it is treated as approved (Clause 6.2).
- The Source Files are not included. The Designer keeps them for 2 years; ask for them within that time if you may need to edit the artwork yourself later (Clause 9.4).- The Source Files can be bought for the agreed fee within 2 years after delivery (Clause 9.4).- Check on delivery that the Source Files open correctly and include linked images; report technical defects within 12 months (Clause 16.3).

## AI tools

- The Designer has agreed not to use generative AI to create the designs (Clause 13.1). This protects the Client's ability to claim copyright in the logo.- The Designer may use AI for research and sketches but must disclose it when presenting the Concepts (Clause 13.1). Ask for that disclosure in writing before selecting a Concept. Elements created mainly by an AI tool may not be protected by copyright, which weakens the Client's position against copycats.
- Neither Party should upload the other's confidential material into an AI tool that uses inputs for training (Clause 13.2).

## Signing and evidence

- A company should sign through the director authorised in its latest company affidavit and affix the company seal if the affidavit requires it. For a foreign company, ask for a recent certificate of incorporation and evidence of the signatory's authority.
- Keep the signed PDF, the Brief, every presentation file, the consolidated comment emails, approvals, invoices, transfer slips and withholding tax certificates.

## If the case goes to a Thai court

- A Thai court works in Thai. English documents must be filed with a certified Thai translation. Budget for this cost.

ห้ามมิให้ผู้ควบคุมข้อมูลส่วนบุคคลทำการเก็บรวบรวมข้อมูลส่วนบุคคล โดยไม่ได้รับความยินยอมจากเจ้าของข้อมูลส่วนบุคคล เว้นแต่ (1) เพื่อให้บรรลุวัตถุประสงค์ที่เกี่ยวกับการจัดทำเอกสารประวัติศาสตร์หรือจดหมายเหตุ เพื่อประโยชน์สาธารณะ หรือที่เกี่ยวกับการศึกษาวิจัยหรือสถิติซึ่งได้จัดให้มีมาตรการปกป้องที่เหมาะสม เพื่อคุ้มครองสิทธิและเสรีภาพของเจ้าของข้อมูลส่วนบุคคล ทั้งนี้ ตามที่คณะกรรมการประกาศกำหนด (2) เพื่อป้องกันหรือระงับอันตรายต่อชีวิต ร่างกาย หรือสุขภาพของบุคคล (3) เป็นการจำเป็นเพื่อการปฏิบัติตามสัญญาซึ่งเจ้าของข้อมูลส่วนบุคคลเป็นคู่สัญญาหรือ เพื่อใช้ในการดำเนินการตามคำขอของเจ้าของข้อมูลส่วนบุคคลก่อนเข้าทำสัญญานั้น (4) เป็นการจำเป็นเพื่อการปฏิบัติหน้าที่ในการดำเนินภารกิจเพื่อประโยชน์สาธารณะของผู้ควบคุม ข้อมูลส่วนบุคคล หรือปฏิบัติหน้าที่ในการใช้อำนาจรัฐที่ได้มอบให้แก่ผู้ควบคุมข้อมูลส่วนบุคคล (5) เป็นการจำเป็นเพื่อประโยชน์โดยชอบด้วยกฎหมายของผู้ควบคุมข้อมูลส่วนบุคคล หรือของบุคคลหรือนิติบุคคลอื่นที่ไม่ใช่ผู้ควบคุมข้อมูลส่วนบุคคล เว้นแต่ประโยชน์ดังกล่าวมีความสำคัญ น้อยกว่าสิทธิขั้นพื้นฐานในข้อมูลส่วนบุคคลของเจ้าของข้อมูลส่วนบุคคล (6) เป็นการปฏิบัติตามกฎหมายของผู้ควบคุมข้อมูลส่วนบุคคล

### พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 28

ในกรณีที่ผู้ควบคุมข้อมูลส่วนบุคคลส่งหรือโอนข้อมูลส่วนบุคคลไปยังต่างประเทศ ประเทศปลายทางหรือองค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคลต้องมีมาตรฐานการคุ้มครองข้อมูล ส่วนบุคคลที่เพียงพอ ทั้งนี้ ต้องเป็นไปตามหลักเกณฑ์การให้ความคุ้มครองข้อมูลส่วนบุคคลตามที่ คณะกรรมการประกาศกำหนดตามมาตรา 16 (5) เว้นแต่ (1) เป็นการปฏิบัติตามกฎหมาย (2) ได้รับความยินยอมจากเจ้าของข้อมูลส่วนบุคคลโดยได้แจ้งให้เจ้าของข้อมูลส่วนบุคคลทราบถึง มาตรฐานการคุ้มครองข้อมูลส่วนบุคคลที่ไม่เพียงพอของประเทศปลายทางหรือองค์การระหว่างประเทศ ที่รับข้อมูลส่วนบุคคลแล้ว (3) เป็นการจำเป็นเพื่อการปฏิบัติตามสัญญาซึ่งเจ้าของข้อมูลส่วนบุคคลเป็นคู่สัญญาหรือ เพื่อใช้ในการดำเนินการตามคำขอของเจ้าของข้อมูลส่วนบุคคลก่อนเข้าทำสัญญานั้น (4) เป็นการกระทำตามสัญญาระหว่างผู้ควบคุมข้อมูลส่วนบุคคลกับบุคคลหรือนิติบุคคลอื่น เพื่อประโยชน์ของเจ้าของข้อมูลส่วนบุคคล (5) เพื่อป้องกันหรือระงับอันตรายต่อชีวิต ร่างกาย หรือสุขภาพของเจ้าของข้อมูลส่วนบุคคล หรือบุคคลอื่น เมื่อเจ้าของข้อมูลส่วนบุคคลไม่สามารถให้ความยินยอมในขณะนั้นได้ (6) เป็นการจำเป็นเพื่อการดำเนินภารกิจเพื่อประโยชน์สาธารณะที่สำคัญ ในกรณีที่มีปัญหาเกี่ยวกับมาตรฐานการคุ้มครองข้อมูลส่วนบุคคลที่เพียงพอของประเทศปลายทาง หรือองค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคล ให้เสนอต่อคณะกรรมการเป็นผู้วินิจฉัย ทั้งนี้ คำวินิจฉัยของคณะกรรมการอาจขอให้ทบทวนได้เมื่อมีหลักฐานใหม่ทำให้เชื่อได้ว่าประเทศปลายทางหรือ องค์การระหว่างประเทศที่รับข้อมูลส่วนบุคคลมีการพัฒนาจนมีมาตรฐานการคุ้มครองข้อมูลส่วนบุคคล ที่เพียงพอ

### พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 37

ผู้ควบคุมข้อมูลส่วนบุคคลมีหน้าที่ ดังต่อไปนี้ (1) จัดให้มีมาตรการรักษาความมั่นคงปลอดภัยที่เหมาะสม เพื่อป้องกันการสูญหาย เข้าถึง ใช้ เปลี่ยนแปลง แก้ไข หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ และต้องทบทวน มาตรการดังกล่าวเมื่อมีความจำเป็นหรือเมื่อเทคโนโลยีเปลี่ยนแปลงไปเพื่อให้มีประสิทธิภาพในการรักษา ความมั่นคงปลอดภัยที่เหมาะสม ทั้งนี้ ให้เป็นไปตามมาตรฐานขั้นต่ำที่คณะกรรมการประกาศกำหนด (2) ในกรณีที่ต้องให้ข้อมูลส่วนบุคคลแก่บุคคลหรือนิติบุคคลอื่นที่ไม่ใช่ผู้ควบคุมข้อมูลส่วนบุคคล ต้องดำเนินการเพื่อป้องกันมิให้ผู้นั้นใช้หรือเปิดเผยข้อมูลส่วนบุคคลโดยปราศจากอำนาจหรือโดยมิชอบ (3) จัดให้มีระบบการตรวจสอบเพื่อดำเนินการลบหรือทำลายข้อมูลส่วนบุคคลเมื่อพ้นกำหนด ระยะเวลาการเก็บรักษา หรือที่ไม่เกี่ยวข้องหรือเกินความจำเป็นตามวัตถุประสงค์ในการเก็บรวบรวม ข้อมูลส่วนบุคคลนั้น หรือตามที่เจ้าของข้อมูลส่วนบุคคลร้องขอ หรือที่เจ้าของข้อมูลส่วนบุคคล ได้ถอนความยินยอม เว้นแต่เก็บรักษาไว้เพื่อวัตถุประสงค์ในการใช้เสรีภาพในการแสดงความคิดเห็น การเก็บรักษาไว้เพื่อวัตถุประสงค์ตามมาตรา 24 (1) หรือ (4) หรือมาตรา 26 (5) (ก) หรือ (ข) การใช้เพื่อการก่อตั้งสิทธิเรียกร้องตามกฎหมาย การปฏิบัติตามหรือการใช้สิทธิเรียกร้องตามกฎหมาย หรือการยกขึ้นต่อสู้สิทธิเรียกร้องตามกฎหมาย หรือเพื่อการปฏิบัติตามกฎหมาย ทั้งนี้ ให้นำความใน

### ประมวลรัษฎากร มาตรา 118

ตราสารใดไม่ปิดแสตมป์บริบูรณ์ จะใช้ต้นฉบับ คู่ฉบับ คู่ฉีก หรือสำเนาตราสารนั้นเป็นพยานหลักฐานในคดีแพ่งไม่ได้ จนกว่าจะได้เสียอากรโดยปิดแสตมป์ครบจำนวนตามอัตราในบัญชีท้ายหมวดนี้ และขีดฆ่าแล้ว แต่ทั้งนี้ ไม่เป็นการเสื่อมสิทธิที่จะเรียกเงินเพิ่มอากรตามมาตรา 113 และมาตรา 114
