## Stamp duty

- A free loan of equipment and a sale of goods are not instruments listed in the Stamp Duty Schedule, so this Agreement normally needs no stamp duty.

## On the day of installation

- Complete and sign the delivery record in Schedule 1: date, location in the Premises and condition. The minimum term of … months and the first Measurement Period start on that date.
- Photograph the Equipment with its serial numbers and ownership labels. The labels help if a landlord or creditor of the Outlet tries to seize the Equipment (Clause 2.3).
- Pay the deposit before installation and keep the receipt. It is refunded within 14 days after the Equipment is collected (Clause 7.4).

## Minimum Volume and competition law

- Keep your purchase records. The Supplier must send any shortfall notice within 15 days after a Measurement Period ends, and the Outlet has 15 days to dispute it (Clause 6.2).
- If purchases are below the Minimum Volume for 2 periods in a row, the Supplier may downsize or remove the Equipment. The Outlet pays nothing for the shortfall (Clause 6.3).- For each short period, the Outlet pays the equipment fee, but for no more than (calculated by the system from the figures entered) periods in total (Clause 6.3). A Thai court may reduce a fee that is excessive compared with the Supplier's real loss.
- The Outlet may still sell other brands with its own equipment (Clause 3.2). A supplier with strong market power that forces outlets to stop selling competing products, or controls their retail prices, may breach the Trade Competition Act. Keep the restriction to the Equipment itself.

## Care and breakdowns

- Clean the Equipment every day as instructed, and report every breakdown through the service channel in Schedule 1 so that there is a record of the time. If the Equipment is out of use because of a breakdown, the Minimum Volume is reduced for those days (Clause 5.3).
- Check that your shop insurance covers equipment of others in your care, especially against theft, because the Outlet pays for loss caused by poor security (Clause 7.2).

## Connected Equipment

- The Supplier receives operating data from the Equipment and may use it only for maintenance, deliveries and checking purchases (Clause 8). Check that the camera points only at the shelves. If your shop has a privacy notice or CCTV sign, mention the Supplier's refrigerator camera.

## Ending the Agreement

- The Supplier collects the Equipment at its own cost within 14 days after the end. Record the condition in writing on collection, and do not delay collection: after 7 days the Outlet bears all risks to the Equipment (Clause 9.3).
- A Thai court works in Thai. A Party that relies on this Agreement in court must file a certified Thai translation.

### พ.ร.บ.คุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 มาตรา 23
